OpenLuxe™ Terms of Service

These Terms of Service govern your use of the online properties, websites, mobile applications, and related services operated by Open Labs, LLC, a Wyoming limited liability company (“Open Labs,” “we,” “us,” or “our”), including https://openluxe.co and each of the other properties listed in the Properties Covered by These Terms section below. Those properties, together with all features, applications, and services offered through them, are referred to in these Terms collectively as the “Services” or the “platform.” OpenLuxe™ is a brand operated by Open Labs, LLC; references in these Terms to OpenLuxe™ mean Open Labs, LLC acting through that brand, and every right, disclaimer, limitation of liability, indemnity, and remedy stated in favor of OpenLuxe™ applies equally to Open Labs, LLC and to each of the Services.

By accessing or using any of the Services, you agree to abide by these Terms of Service and to comply with all applicable laws and regulations. If you do not agree with these Terms of Service, you are prohibited from using or accessing the Services. These Terms apply to every property listed below, whether you reached it directly, through a link, or through your single Open Labs account.

Properties Covered by These Terms

Open Labs, LLC operates a family of related online properties that share a single account system, a single credit balance, and common infrastructure. These Terms of Service, together with our Privacy Policy, Acceptable Use Policy, and Cookie Policy, govern all of them:

  • OpenLuxe — openluxe.co — the luxury social marketplace and business platform.
  • OpenVerce — openverce.com — the open platform hub and Surface experience.
  • OpenFlix — openflix.co — creator video, streaming, and monetization.
  • HoodGuess — hoodguess.com — the real-estate location and price guessing game.
  • StickerVerce — stickerverce.com — AI-generated collectible card universes, battles, and trading.
  • VidVerce — vidverce.com, ReelReel — reelreel.co, and Baddles — baddles.co — video and social talent properties.

We may add, rename, combine, retire, or stop operating any property at any time. A property that is added or renamed is covered by these Terms from the date it begins operating, and we will update this list. Your Open Labs account, profile, credit balance, purchase history, and support relationship are shared across the Services unless a specific feature states otherwise, which means that action we take on one property — including suspension or termination for a breach of these Terms — may apply across all of them. Where a property introduces features these general Terms do not otherwise address, the Property-Specific Terms sections below apply in addition to (not instead of) the rest of these Terms; if a Property-Specific Term conflicts with a general term, the Property-Specific Term controls for that property only.

We, OpenLuxe™, reserve the right to review and amend these Terms of Service at our discretion. When we make changes, we will update this page and revise the “last updated” date. For material changes, we will provide reasonable advance notice — for example, by email to the address associated with your account or through an in-app or on-site notice — before the change takes effect, except where an immediate change is required for legal, security, or fraud-prevention reasons. Non-material changes take effect when posted. Your continued use of the platform after the effective date of a change constitutes your acceptance of the amended Terms; if you do not agree, you must stop using the platform. Any change to the Mandatory Arbitration and Class Action Waiver section applies only on a going-forward basis and does not apply to a dispute of which either party had actual notice before the change.

These Terms of Service were last updated on July 21, 2026.

Eligibility and Age Requirements

OpenLuxe™ is offered only to users who are at least 18 years of age (or the age of majority in your jurisdiction, whichever is older) and who can form a legally binding contract under applicable law. Certain features — including but not limited to marketplace transactions, gifting, escrow, livestreaming, investment-related features, advertising, and AI-generated communications — may have additional eligibility requirements. The platform is not directed to children under 13, and we do not knowingly collect personal information from children under 13. If we learn that we have collected personal information from a child under 13, we will delete that information. By using OpenLuxe™ you represent and warrant that you meet these eligibility requirements and that all information you provide is true, current, and complete.

Account Security and Your Responsibility

You are solely responsible for safeguarding your account credentials, API keys, encryption keys, recovery codes, devices, and any third-party credentials you connect to the platform. You agree to use a strong, unique password, to enable two-factor authentication where available, and to promptly notify us at support@openluxe.co of any actual or suspected unauthorized access, loss of credentials, or security breach. You are responsible for all activity that occurs under your account, whether or not authorized by you, including any actions taken by AI features, automations, agents, integrations, or third parties acting on your behalf. OpenLuxe™ is not liable for any loss or damage arising from your failure to safeguard your credentials or comply with this section.

Privacy Policy

Our Privacy Policy is incorporated into these Terms of Service by reference and explains how we collect, use, store, process, and share information about you. By using the platform, you consent to our data practices as described in the Privacy Policy. If there is a conflict between these Terms of Service and the Privacy Policy, these Terms of Service control with respect to use of the platform and the Privacy Policy controls with respect to data handling.

Limitations of Use

By using this website, you warrant on behalf of yourself, your users, and other parties you represent that you will not:

  2. remove any copyright or other proprietary notations from any materials and software on this website;
  3. transfer the materials to another person or "mirror" the materials on any other server;

  5. use this website or its associated services to transmit or publish any harassing, indecent, obscene, fraudulent, or unlawful material;
  6. use this website or its associated services in violation of any applicable laws or regulations;

  10. use this website, its associated services, or any data, content, features, designs, workflows, or outputs obtained from them to develop, build, train, market, or operate any product, software, or service that competes with OpenLuxe™, or to copy, clone, or replicate the platform or any portion of it.

Regulated Data and Compliance Limitations

OpenLuxe™ is a general-purpose business operating, productivity, and management platform. It is built for ordinary commercial use by businesses such as creative agencies, technology startups, consultants, real-estate professionals, and similar organizations. Except where you have entered into a separate, signed Enterprise Compliance Environment agreement as described in the next section, OpenLuxe™ is not designed, offered, warranted, or certified as a compliant “system of record” for data governed by industry-specific regulatory regimes, and you must not use the standard platform for that purpose.

Defined terms used in this section. Because this section refers to a number of laws and regulatory programs by their common abbreviations, the following defined terms have the meanings given below wherever they appear in these Terms of Service:

  • HIPAA — the U.S. Health Insurance Portability and Accountability Act of 1996, together with its implementing Privacy, Security, and Breach Notification Rules.
  • HITECH — the U.S. Health Information Technology for Economic and Clinical Health Act.
  • PHI and ePHI — protected health information and electronic protected health information, as those terms are defined under HIPAA.
  • BAA — a Business Associate Agreement, the written contract HIPAA requires between a covered entity and a business associate.
  • DPA — a Data Processing Agreement governing the processing of personal data (for example, under the EU or UK General Data Protection Regulation, or GDPR).
  • SEC — the U.S. Securities and Exchange Commission; FINRA — the Financial Industry Regulatory Authority; and SEC Rule 17a-4 — the SEC rule requiring broker-dealers to preserve certain records in a non-rewriteable, non-erasable format.
  • GLBA — the U.S. Gramm-Leach-Bliley Act, which governs nonpublic personal financial information; MNPI — material nonpublic information.
  • BSA, AML, and KYC — the U.S. Bank Secrecy Act and related anti-money-laundering and know-your-customer obligations.
  • NAIC — the U.S. National Association of Insurance Commissioners, including its Insurance Data Security Model Law.
  • FCRA — the U.S. Fair Credit Reporting Act, which governs “consumer reports” used for credit, employment, insurance, or housing eligibility; ECOA — the Equal Credit Opportunity Act.
  • TCPA and CAN-SPAM — the U.S. Telephone Consumer Protection Act and the Controlling the Assault of Non-Solicited Pornography And Marketing Act, which govern calls, texts, and commercial email.
  • PCI DSS — the Payment Card Industry Data Security Standard; FERPA — the Family Educational Rights and Privacy Act; CJIS — the U.S. FBI Criminal Justice Information Services Security Policy.
  • ITAR and EAR — the U.S. International Traffic in Arms Regulations and Export Administration Regulations; OFAC — the U.S. Treasury Office of Foreign Assets Control, which administers economic sanctions.
  • SOC 2 and ISO 27001 — the System and Organization Controls 2 examination published by the American Institute of Certified Public Accountants (AICPA) and the ISO/IEC 27001 information-security-management standard.
  • FedRAMP, StateRAMP, CMMC, and FISMA — U.S. federal and state government cloud-security and information-security authorization programs (the Federal Risk and Authorization Management Program, its state-government counterpart, the U.S. Department of Defense Cybersecurity Maturity Model Certification, and the Federal Information Security Modernization Act).
  • EU AI Act — Regulation (EU) 2024/1689 on artificial intelligence; BIPA — the Illinois Biometric Information Privacy Act.
  • SSO — single sign-on; and system of record — the authoritative source that you or a regulator rely on to satisfy a legal recordkeeping, retention, reporting, or audit obligation.

What the standard platform is not. Without limiting the foregoing, on the standard platform:

  1. Health information (HIPAA). OpenLuxe™ is not a HIPAA-compliant electronic health record, practice-management, or health-data system. We do not act as a “covered entity” or a “business associate,” and we will not enter into a BAA, on the standard platform. You must not upload, store, transmit, or process PHI or ePHI as defined under HIPAA or HITECH on the standard platform.
  2. Financial and securities information (SEC, FINRA, GLBA, and BSA/AML). OpenLuxe™ is not a broker-dealer, investment adviser, bank, lender, money transmitter, or money-services business, and it is not a books-and-records or recordkeeping system that satisfies SEC, FINRA, or comparable requirements (including SEC Rule 17a-4 and similar immutable-recordkeeping rules). We do not perform BSA, AML, or KYC screening on your behalf. ERP, ledger, forecast, valuation, tax, and other financial features are informational tools only, are not a regulated financial system of record, and are not accounting, investment, legal, or tax advice. Do not use the standard platform as your system of record for nonpublic personal financial information subject to GLBA or for MNPI. One narrow exception applies to GLBA information: the Lending Document Features identified in the Lending Document Features and GLBA Service Provider Addendum section below are expressly designed to receive and store nonpublic personal information, and may be used for that purpose solely on the terms of that section and only where the addendum described in it has been executed. That exception is limited to those features and to GLBA information. It does not extend to MNPI, which remains prohibited on the platform without exception, and it does not alter anything else in this paragraph — OpenLuxe™ remains not a lender, not a broker-dealer, not a creditor, and not a books-and-records system.
  3. Insurance information (NAIC and state regulators). OpenLuxe™ is not an insurance-regulated system of record and does not meet the data-security, recordkeeping, or reporting requirements of the NAIC Insurance Data Security Model Law or any state department of insurance.
  4. Consumer-report and eligibility data (FCRA). OpenLuxe™ is not a “consumer reporting agency,” and neither the platform nor its CRM, contact-enrichment, dossier, screening, scoring, or AI features — nor any data obtained through them — are “consumer reports.” You must not use them, in whole or in part, as a factor in establishing an individual's eligibility for credit, employment, insurance, housing or tenancy, or any other purpose governed by the FCRA or an analogous state law. Where such a purpose applies, you are solely responsible for obtaining an FCRA-compliant report from an authorized consumer reporting agency.
  5. Sensitive and special-category data. The standard platform is not intended as a system of record for biometric identifiers (for example, data governed by BIPA), precise geolocation, government-issued identifiers, or the special categories of personal data described in our Privacy Policy, except to the extent a specific feature expressly supports it and applicable law permits it.
  6. Other regulated data. The standard platform is likewise not designed for use as a system of record for other categories of specially regulated data — for example, PCI DSS cardholder data outside our designated payment processors, FERPA education records, CJIS criminal-justice data, or ITAR or EAR export-controlled technical data.

Your compliance responsibilities. Across all of your use of the platform, you are solely responsible for the following, and OpenLuxe™ makes no representation that the standard platform satisfies any of them on your behalf:

  1. Decisions about people and AI-assisted outputs. You must not rely on AI agents, scores, enrichment, or other automated outputs as the sole basis for a legally significant decision about an individual — including decisions about credit or lending, employment, housing or tenancy, insurance underwriting, or access to essential services. Where you use the platform to assist such a decision, you are responsible for meaningful human review and for complying with all applicable laws, including the FCRA, ECOA, the Fair Housing Act, other anti-discrimination and equal-opportunity laws, and automated-decision and AI-transparency laws (such as the EU AI Act and state or local automated-employment-decision laws), together with the Real Estate, MLS, and Fair Housing section of these Terms.
  2. Regulatory recordkeeping, retention, and legal hold. The platform's data-retention, deletion, export, and archiving behavior is not designed to satisfy any regulatory records-retention requirement (such as SEC Rule 17a-4), litigation legal-hold obligation, or evidentiary- preservation duty. You are responsible for independently preserving, exporting, and retaining any records you are legally required to keep, as further described in these Terms regarding your data upon termination.
  3. Communications, marketing, and call recording. Your use of dialer, SMS, email, outbound campaign, and AI voice or answering features is governed by the Communications, Call Recording, and Consent section of these Terms, and you are responsible for TCPA, CAN-SPAM, Do-Not-Call, wiretap and two-party call-recording, and equivalent consent requirements.
  4. Government and public-sector use. The standard platform is not FedRAMP-, StateRAMP-, CMMC-, or FISMA-authorized and is not intended for controlled unclassified information or other government data requiring such authorization.
  5. Security and compliance certifications. Any trust, security-posture, or SOC-readiness dashboards or self-assessments we make available are internal readiness tooling only. They are not, and do not represent that OpenLuxe™ holds, a completed independent SOC 2, ISO 27001, PCI DSS, HIPAA, or similar audit, attestation, or certification, and you may not rely on them as such unless a current third-party report is expressly provided to you under a signed agreement.
  6. Sanctions, export, and geographic restrictions. Your use is subject to the Geographic Use, Export Controls, and Sanctions section of these Terms, including OFAC, ITAR, and EAR requirements.
  7. Data location and international transfers. Unless your signed agreement states otherwise, the standard platform is hosted and processed primarily in the United States, and you are responsible for determining whether that is compatible with any data-residency or cross-border-transfer obligation that applies to you.

If you operate in a regulated industry, you are solely responsible for determining whether the platform is appropriate for your use, for obtaining any required legal or compliance review, and for using specialized, purpose-built vendors or integrations for your core regulated workflows. Any templates, tools, or content we provide for such industries are offered for general business convenience only and do not constitute compliance certification, legal advice, or a representation that your use will satisfy any law or regulation. You remain solely responsible for your own compliance with all laws and regulations applicable to your business and data, and you agree to indemnify OpenLuxe™ as set out in the Indemnification section for any claim arising from your submission of regulated data to the standard platform, or your use of the platform in a regulated context, in breach of this section. This section supplements, and does not limit, the Disclaimer of Warranties and the Limitation of Damages and Aggregate Cap sections below.

Enterprise Compliance Environments

For customers with heightened regulatory needs, OpenLuxe™ may offer, at its sole discretion and under a separate written agreement, an Enterprise Compliance Environment — a dedicated, isolated, and hardened deployment provisioned on segregated infrastructure with additional contractual and technical controls. Depending on the executed agreement, these controls may include, for example, a signed Business Associate Agreement (BAA) or Data Processing Agreement (DPA), immutable and exportable audit trails, enhanced access controls and single sign-on, encryption and key-management options, data-residency options, defined uptime and support commitments, and independent security attestations. Enterprise Compliance Environments are offered for a premium and are subject to eligibility, capacity, and OpenLuxe™'s approval.

These enhanced obligations apply only where expressly agreed in a signed writing. No compliance representation, warranty, BAA, or elevated obligation of any kind arises unless and until OpenLuxe™ and you have executed a written Enterprise Compliance Environment order form or master services agreement (and, where applicable, a signed BAA or DPA) that expressly identifies your account and the specific controls provided. Unless and until such an agreement is in effect, the standard Terms of Service govern your account in full, and none of the compliance representations described in this section apply to you. No statement by any salesperson, support representative, AI agent, marketing material, or documentation modifies this requirement or creates any such obligation. To the extent an executed Enterprise Compliance Environment agreement conflicts with these Terms, that agreement controls solely with respect to the subject matter it expressly addresses.

Even within an Enterprise Compliance Environment, OpenLuxe™ provides only the specific controls expressly listed in the executed agreement, and you remain responsible for your own regulatory obligations, for configuring and using the environment appropriately, and for your users' and end users' conduct. Lending Document Features and GLBA Service Provider Addendum

Certain features of the platform are built specifically to collect, transmit, and store the financial documents a mortgage or lending professional needs from a consumer — for example, pay stubs, W-2s, tax returns, bank and investment statements, gift letters, and government-issued identification. These are the Lending Document Features. They currently comprise the pre-approval document intake reached from a client readiness result, the secure document-request flow in messaging, and any other feature we expressly designate in writing or in our published documentation as a Lending Document Feature.

Who is who, and what that means. Where you use the Lending Document Features in connection with an actual or prospective consumer credit transaction, you are or may be a “financial institution” subject to the Gramm-Leach-Bliley Act and the Federal Trade Commission’s Standards for Safeguarding Customer Information, 16 C.F.R. Part 314 (the Safeguards Rule), and OpenLuxe™ acts as your service provider as that term is used in the Safeguards Rule. You are the party that owes the regulatory duty to the consumer; we owe our obligations to you, under the addendum described below. Nothing in this section makes OpenLuxe™ a financial institution, a lender, a creditor, a mortgage broker or originator, a loan servicer, or a consumer reporting agency, and nothing in it is an assumption of your obligations.

The addendum is a precondition, not a formality. The Safeguards Rule requires you to obtain contractual safeguards commitments from your service providers. Accordingly, you may use the Lending Document Features to submit nonpublic personal information only if a GLBA Service Provider Addendum is in effect between you and OpenLuxe™. Until it is, the general prohibition in the Regulated Data and Compliance Limitations section applies to you in full and you must not submit such information. The addendum sets out the safeguards we undertake to maintain, our security-event notification commitments, limits on our use and disclosure of the information, our flow-down obligations to subcontractors, and what happens to the information when your account ends. Unlike an Enterprise Compliance Environment, the addendum does not require separate infrastructure and is available on the standard platform; the two are independent, and either may be entered into without the other.

What remains yours. Even with the addendum in effect, you remain solely responsible for: maintaining your own written information security program as the Safeguards Rule requires of you; giving consumers the privacy notices and opt-outs required by the GLBA privacy rule; obtaining any consent or authorization needed to collect a document from a consumer and to share it with a lender; determining the retention period your own regulator requires, which governs over any default period we apply; deciding who within your organization may access a document; and making every credit, pricing, and eligibility decision. Our default retention periods are operational defaults only and are not a legal determination for your business.

Not a consumer report, and not a credit decision. The readiness scores, qualification results, enrichment, dossier, scoring, and AI outputs the platform produces are not “consumer reports,” and OpenLuxe™ is not a consumer reporting agency. As set out in the Regulated Data and Compliance Limitations section, you must not use them as a factor in establishing a consumer’s eligibility for credit or for any other purpose governed by the FCRA or an analogous state law. Where such a purpose applies, obtain an FCRA-compliant report from an authorized consumer reporting agency. We also do not perform BSA, AML, KYC, OFAC, flood, appraisal, or fair-lending screening on your behalf, and we do not generate, deliver, or track the timing of any TRID, RESPA, ECOA, or adverse-action disclosure.

Other regimes are not included. The Lending Document Features are designated for GLBA nonpublic personal information only. Designation does not extend to protected health information, cardholder data, securities or MNPI, biometric identifiers, government-classified information, or any other regulated category, each of which remains governed by the Regulated Data and Compliance Limitations section. If your use is also subject to a state financial-services security regulation that imposes obligations beyond the Safeguards Rule — for example the New York Department of Financial Services Part 500 cybersecurity requirements — tell us before you begin, so the additional obligations can be addressed in writing rather than assumed.

Intellectual Property

The intellectual property in the materials contained in this website are owned by or licensed to Open Labs and are protected by applicable copyright and trademark law. We grant our users permission to download one copy of the materials for personal, non-commercial transitory use.

This constitutes the grant of a license, not a transfer of title. This license shall automatically terminate if you violate any of these restrictions or the Terms of Service, and may be terminated by OpenLuxe™ at any time.

Prohibited Data Collection and Scraping

Automated Access Prohibited: You are strictly prohibited from using any automated means, including but not limited to bots, crawlers, scrapers, spiders, scripts, AI agents, or any other automated tools or software to access, collect, download, index, or otherwise retrieve any content, data, or information from this website or platform. This prohibition applies to all data on the platform without exception, regardless of whether the data is publicly visible, whether access is technically possible, or whether a robots.txt or similar file would otherwise permit crawling. It also prohibits using any content or data from the platform to train, fine-tune, or improve any machine-learning or artificial-intelligence model.

Content Protection: All content on this platform, including but not limited to property listings, photographs, images, videos, text, descriptions, market data, user-generated content, and any other media or information, is protected by copyright and other intellectual property laws. Downloading, copying, reproducing, distributing, or using any content from this platform without the express written consent of the content owner is strictly prohibited.

Third-Party Content: Much of the content on this platform, including property images and listing information, is owned by third parties such as real estate agents, brokers, property owners, and other users. You must obtain direct consent from the respective content owner before downloading, copying, or using any such content for any purpose.

Enforcement and Remedies: OpenLuxe™ actively monitors for unauthorized access and scraping activity. If we detect or suspect any violation of these terms, we reserve the right to: (a) immediately suspend or terminate your account and access to the platform without notice; (b) block your IP address and any associated accounts; (c) pursue legal action and seek damages, including but not limited to actual damages, statutory damages, attorneys' fees, and costs; (d) report violations to law enforcement authorities; and (e) seek injunctive relief to prevent further violations.

Damages: You acknowledge that unauthorized scraping, data collection, or content downloading causes significant harm to OpenLuxe™ and its users. You agree that you will be liable for all damages resulting from such violations, including but not limited to the market value of the data or content obtained, costs of detection and investigation, harm to platform integrity, and any damages suffered by third-party content owners.

No Competing Products; No Copying or Cloning

You may not use OpenLuxe™, its associated services, or anything you obtain or learn from them — including content, data, features, designs, workflows, user interfaces, documentation, APIs, or AI-generated outputs — to create, develop, build, train, market, sell, or operate any software, product, or service of any kind that competes with OpenLuxe™ or any of its services. This includes, without limitation: copying or cloning the platform or any portion of it; reproducing or substantially imitating its features, designs, or functionality; systematically studying the platform for the purpose of building a competing offering; and using platform data or outputs as training data, reference material, or a foundation for a competing product.

Enforcement and Remedies: If we determine, in our sole discretion, that you have violated or intend to violate this section, we reserve the right to: (a) immediately suspend or terminate your account, your access to the platform, and any associated services without notice; (b) block your IP address and any associated accounts; (c) pursue legal action and seek all available damages, including but not limited to actual damages, lost profits, disgorgement of profits you derive from the violation, statutory damages, attorneys' fees, and costs; and (d) seek injunctive or other equitable relief to prevent further violations. You acknowledge that a violation of this section would cause OpenLuxe™ irreparable harm for which monetary damages alone would be inadequate, and you agree that OpenLuxe™ is entitled to seek injunctive relief without posting a bond. These remedies are in addition to, not in place of, any other rights or remedies available to us under these Terms or applicable law.

Automated Access, AI Cloning, and Enhanced Damages

This section applies specifically to any attempt to copy, reproduce, reconstruct, reverse engineer, or clone OpenLuxe™'s software, source or object code, algorithms, models, user interface, look and feel, database schema, or platform — in whole or in part — and to any attempt to build, train, or operate a competing or derivative product or model from them, whether carried out manually or by any robot, bot, crawler, scraper, headless browser, script, autonomous agent, AI system, or other automated or machine-learning means. Using automation or AI to do what these Terms prohibit is an aggravating factor, not an excuse, and does not make the conduct any less a breach by the person or entity that deploys, directs, funds, or benefits from it.

These disputes are subject to arbitration. Any Dispute arising out of such automated access, scraping, reverse engineering, or AI cloning is a “Dispute” under, and is resolved by binding individual arbitration in accordance with, the “Mandatory Arbitration and Class Action Waiver” section above. The arbitrator has full authority to award all remedies described here, including the liquidated and enhanced damages, disgorgement, permanent injunctive relief, and attorneys’ fees and costs. As permitted by that section, OpenLuxe™ may also seek temporary or preliminary injunctive relief in court, in aid of arbitration, to immediately halt an ongoing violation.

Liquidated damages. You acknowledge that automated copying, scraping, reverse engineering, or cloning of OpenLuxe™'s code and platform causes real and substantial harm — including loss of research-and-development investment, competitive advantage, and infrastructure and security costs — that is difficult to quantify precisely in advance. Accordingly, for each such violation you agree OpenLuxe™ may recover, as liquidated damages and not as a penalty, the greater of: (a) OpenLuxe™'s actual damages; or (b) the development, research, and infrastructure investment reasonably attributable to the material accessed, copied, or cloned. The parties agree this is a reasonable estimate of harm that is otherwise difficult to calculate. If a court or arbitrator determines that this liquidated-damages measure is unenforceable as to any claim, OpenLuxe™ may instead recover its actual damages together with all statutory and enhanced remedies below.

Enhanced and statutory remedies. In addition to (and not instead of) liquidated damages, OpenLuxe™ may pursue and recover every remedy available at law or in equity for such conduct, including where applicable: actual and consequential damages; disgorgement of profits and unjust enrichment; and statutory or enhanced damages under the federal Defend Trade Secrets Act (including up to two times damages and attorneys’ fees for willful or malicious misappropriation), the Computer Fraud and Abuse Act, the Digital Millennium Copyright Act (including its anti-circumvention provisions), and the Copyright Act (including statutory damages for willful infringement of registered works); state trade-secret, computer-crime, trespass-to-chattels, and unfair-competition laws; pre- and post-judgment interest; and all attorneys’ fees, expert fees, investigative costs, and arbitration or court costs. These amounts are the liability of the user (and any person or entity acting in concert with them) to OpenLuxe™ and are not subject to the aggregate liability cap in these Terms, which limits only OpenLuxe™'s liability to you.

Business Email

Business Email lets a team host mailboxes on a domain it owns. The team's owner and admins control those mailboxes: they create, suspend and delete them, choose a catch-all, and invite people to them. A mailbox on a team's domain belongs to the team, not to the person who uses it; when someone leaves the team, their mailboxes on its domains are suspended.

Each mailbox costs the credits shown when it is created, charged to the team owner's balance at creation and again every month while the mailbox is active. If a renewal cannot be paid for three consecutive days, the mailbox stops sending; it keeps receiving mail for 30 days, and is then suspended. A deleted mailbox is suspended at once and its address is released after 30 days. Credits already charged are not refunded.

You must own and control any domain you connect, and keep the DNS records we provide in place. We may limit or pause a domain's sending to protect deliverability for everyone, as described in our Acceptable Use Policy.

Platform Rights and User Conduct

OpenLuxe™ reserves the right to revoke, modify, or change any usernames, profiles, accounts, content, sites, domains, or any other data associated with the platform at our sole discretion.

If you engage in spamming, fraudulent activities, or attempts to scam users, OpenLuxe™ reserves the right to refuse service, suspend or terminate your account, report you to relevant authorities, and take any necessary legal action.

We do not allow any illegal activity on OpenLuxe™. Any violation of applicable laws or regulations will result in immediate action, including but not limited to account suspension and legal reporting.

Users are strictly prohibited from sharing confidential information of other users or violating any non-disclosure agreements (NDAs) established within the platform. If we find that you have breached confidentiality, OpenLuxe™ retains the right to take necessary actions, including account suspension, legal action, and potential financial penalties.

OpenLuxe™ strictly prohibits the posting, sharing, or distribution of pornographic or sexually explicit content on the platform.

Any form of sexual trade, solicitation, or related activities is strictly forbidden on OpenLuxe™.

Marketplace and Social Media Conduct

Users must adhere to ethical business practices while using OpenLuxe™ as a marketplace and social platform. Misrepresentation, deceptive marketing, or any form of manipulation is strictly prohibited.

Users must not engage in hate speech, harassment, threats, or incite violence against individuals or groups based on race, ethnicity, religion, gender, disability, or sexual orientation.

All transactions must comply with applicable laws and financial regulations. Fraudulent transactions, money laundering, or unauthorized payment methods will result in immediate suspension and legal action.

OpenLuxe™ reserves the right to moderate, remove, or restrict content, listings, and discussions that violate these terms, and we may take further action if necessary.

We may update these terms periodically, and continued use of OpenLuxe™ constitutes acceptance of any modifications.

User-Generated Content

You retain your intellectual property ownership rights over content you submit to us for publication on our website. We will never claim ownership of your content, but we do require a license from you in order to use it.

Your content warranties. You represent and warrant that: (a) you own or have all necessary rights, licenses, consents, and permissions to the content you submit and to grant the license below; (b) your content, and our use of it as permitted here, does not and will not infringe, misappropriate, or violate any third party’s intellectual-property, privacy, publicity, or other rights, or any applicable law; and (c) you have obtained any consent or release required from any person who is featured or identifiable in your content. You are solely responsible for your content and for the consequences of submitting it.

When you use our website or its associated services to post, upload, share, or otherwise transmit content covered by intellectual property rights, you grant to us a non-exclusive, royalty-free, transferable, sub-licensable, worldwide license to use, distribute, modify, run, copy, publicly display, translate, or otherwise create derivative works of your content in a manner that is consistent with your privacy preferences and our Privacy Policy.

You may terminate the license going forward by deleting your content or your account, and we will stop using it within a reasonable time. However, the license is irrevocable and perpetual to the limited extent necessary to: (a) honor sub-licenses we granted to partners before termination (which continue until the relevant commercial or sponsored use is discontinued); (b) retain and permit continued use of copies you shared with, or that were lawfully re-shared by, other users; and (c) retain residual copies in routine backups and logs or as required to comply with law or to establish, exercise, or defend legal claims. Deleting content does not require any third party who already received it to delete their copy.

You give us permission to use your username and other identifying information associated with your account in a manner that is consistent with your privacy preferences, and our Privacy Policy.

Communications, Call Recording, and Consent

Electronic Communications Consent: By creating an account or using the platform, you consent to receive communications from OpenLuxe™ and other users electronically — including by email, SMS, MMS, push notification, in-app message, voice call, AI-generated voice call, automated dialing, and prerecorded message — at the contact information you provide or that is associated with your account. You agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communications be in writing.

SMS / Text Messaging: Message and data rates may apply. Frequency varies. Reply STOP to opt out of marketing SMS or HELP for help. Our SMS program is governed by our SMS Terms, which are incorporated by reference. Carriers are not liable for delayed or undelivered messages.

Calls and AI Phone Agents: The platform includes inbound and outbound calling features and AI voice agents that may answer, place, transfer, or participate in phone calls on behalf of users. By placing, receiving, or participating in any call routed through the platform, you expressly consent to the recording, transcription, storage, analysis, and processing of the call by OpenLuxe™ and its service providers (including AI providers) for purposes including quality assurance, compliance, training, support, security, fraud prevention, CRM enrichment, and platform operation. You represent and warrant that you have obtained any consent required from any other party to a call (including all-party-consent jurisdictions such as California, Florida, Illinois, Maryland, Massachusetts, Michigan, Montana, Nevada, New Hampshire, Pennsylvania, Washington, and others) before initiating, joining, or recording such a call through the platform. You are solely responsible for compliance with the Telephone Consumer Protection Act (TCPA), state telemarketing and call-recording laws, and Do-Not-Call rules with respect to your use of calling, SMS, and AI voice features.

Livestream and Webinar Recording: Livestreams, webinars, video rooms, and similar sessions on the platform may be recorded by hosts, co-hosts, attendees, or by OpenLuxe™ for operational purposes. By joining, hosting, or participating, you consent to such recording and to the processing, storage, distribution, and replay of the recording in accordance with the host's settings and our Privacy Policy.

Copyright Complaints (DMCA Notice and Takedown)

OpenLuxe™ respects the intellectual property rights of others and complies with the Digital Millennium Copyright Act (DMCA), 17 U.S.C. § 512. If you believe in good faith that content available on the platform infringes your copyright, you may submit a written notice to us at support@openluxe.co containing all of the following: (a) a physical or electronic signature of the copyright owner or a person authorized to act on their behalf; (b) identification of the copyrighted work claimed to have been infringed; (c) identification of the material claimed to be infringing and information reasonably sufficient to permit us to locate it (e.g., a URL); (d) your contact information (name, address, telephone, email); (e) a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law; and (f) a statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or are authorized to act on the copyright owner's behalf.

Send copyright notices to support@openluxe.co. Counter-notices and any disputes must follow the DMCA's procedures. We will respond to valid notices in accordance with the DMCA, which may include removing or disabling access to the allegedly infringing material. We will terminate, in appropriate circumstances, the accounts of repeat infringers. Misrepresentations in a DMCA notice or counter-notice may subject the submitter to liability under 17 U.S.C. § 512(f).

Subscriptions, Billing, Auto-Renewal, and Cancellation

Paid Plans: Certain features of the platform require a paid subscription, one-time purchase, credit pack, metered usage charge, or other payment. By providing payment information, you authorize OpenLuxe™ and its payment processors to charge the applicable fees, taxes, and surcharges to your designated payment method.

Auto-Renewal: Subscriptions automatically renew at the end of each billing period (monthly, annually, or as otherwise specified at purchase) at the then-current price for the applicable plan, until you cancel. You may cancel at any time through your account settings or by emailing support@openluxe.co. Cancellation takes effect at the end of the then- current billing period; you will retain access until that date and will not receive a prorated refund for the unused portion, except as required by law or as provided in our Refund Policy below.

Price and Plan Changes: We may change subscription prices, plan features, included usage, credit pricing, or fees at any time. We will provide reasonable advance notice (typically by email or in-app notice) before any price increase takes effect on your subscription. Continued use after the effective date of a change constitutes your acceptance of the change. If you do not agree, your sole remedy is to cancel before the change takes effect.

Taxes: Fees are exclusive of taxes, levies, and duties unless stated otherwise. You are responsible for all applicable sales, use, VAT, GST, or similar taxes associated with your purchases, except for taxes based on OpenLuxe™'s net income.

Failed Payments: If a payment fails, we may retry, suspend or downgrade your access, revoke credits or premium features, and pursue collection of unpaid amounts. You are responsible for any reasonable costs of collection.

Credits, Tokens, and Virtual Items: Credits, tokens, and other virtual items issued on the platform have no cash value, are non-transferable unless we expressly permit, are not redeemable for cash, and may expire or be revoked in accordance with the program rules. Promotional or bonus credits may be subject to additional restrictions and may be forfeited upon account termination.

Disclaimer of Warranties; Liability

THE WEBSITE, THE PLATFORM, AND ALL MATERIALS, FEATURES, AI AGENTS, AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, OPENLUXE™ AND ITS SUPPLIERS DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. OPENLUXE™ DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY CONTENT, AI OUTPUT, OR THIRD-PARTY DATA WILL BE ACCURATE, COMPLETE, OR RELIABLE.

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL OPENLUXE™ OR ITS SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, or for the categories of loss described below, suffered or incurred by you or any third party arising from the use or inability to use this website, the platform, or the materials on it, even if OpenLuxe™ or an authorized representative has been notified, orally or in writing, of the possibility of such damage. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (such as, in some jurisdictions, liability for death or personal injury caused by negligence, or for fraud or willful misconduct).

In the context of this agreement, “consequential loss” includes any consequential loss, indirect loss, real or anticipated loss of profit, loss of benefit, loss of revenue, loss of business, loss of goodwill, loss of opportunity, loss of savings, loss of reputation, loss of use and/or loss or corruption of data, whether under statute, contract, equity, tort (including negligence), indemnity, or otherwise.

Because some jurisdictions do not allow limitations on implied warranties, or limitations of liability for consequential or incidental damages, these limitations may not apply to you.

Limitation of Damages and Aggregate Cap

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF OPENLUXE™, OPEN LABS, AND OUR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, SUPPLIERS, AND PARTNERS, ARISING OUT OF OR RELATED TO THESE TERMS, THE PLATFORM, OR ANY FEATURE, AI AGENT, INTEGRATION, TRANSACTION, COMMUNICATION, OR CONTENT, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE, INDEMNITY, OR ANY OTHER LEGAL OR EQUITABLE THEORY, IS LIMITED TO THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO OPENLUXE™ DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100 USD). THIS CAP APPLIES IN THE AGGREGATE TO ALL CLAIMS, NOT PER CLAIM. THE EXISTENCE OF MULTIPLE CLAIMS DOES NOT EXPAND THIS LIMIT. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO PART OR ALL OF THIS SECTION MAY NOT APPLY TO YOU.

The limitations and exclusions in this section apply even if a remedy fails of its essential purpose, and they form an essential basis of the bargain between you and OpenLuxe™.

Time Limit to Bring a Claim

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF OR RELATED TO THESE TERMS, THE PLATFORM, OR YOUR USE OF IT MUST BE FILED WITHIN ONE (1) YEAR after the claim or cause of action arose; otherwise, it is permanently barred. If applicable law does not permit a one-year limitations period, the claim must be brought within the shortest period permitted by that law. This limitation does not apply where prohibited by law, and it does not shorten any period during which the parties are engaged in the informal-resolution process described below, which tolls the applicable period.

Indemnification

You agree to defend, indemnify, and hold harmless OpenLuxe™, Open Labs, and our affiliates, officers, directors, employees, contractors, agents, licensors, suppliers, and partners from and against any and all claims, demands, actions, proceedings, losses, liabilities, damages, judgments, awards, fines, penalties, costs, and expenses (including reasonable attorneys’ fees and court costs) arising out of or related to: (a) your use or misuse of the platform; (b) any content you submit, upload, post, transmit, share, publish, distribute, or generate (including using AI features) through the platform; (c) your violation of these Terms, any applicable law, or the rights of any third party (including intellectual property, privacy, publicity, contract, consumer-protection, Fair-Housing, TCPA, securities, or call-recording rights); (d) your transactions, communications, or dealings with other users or third parties through the platform; (e) any breach of your representations or warranties; (f) your use of any AI feature, agent, or output, including any decision, publication, transmission, or omission based on AI output; and (g) your use of any Third-Party Service. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to your indemnification, in which case you agree to cooperate with our defense.

Accuracy of Materials

The materials appearing on our website are not comprehensive and are for general information purposes only. OpenLuxe™ does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on this website, or otherwise relating to such materials or on any resources linked to this website.

Service Availability and No Uptime Guarantee

The platform is provided on an “AS IS” and “AS AVAILABLE” basis. OpenLuxe™ does not warrant or guarantee that the platform or any feature, integration, AI agent, livestream, phone line, message, automation, or other service will be uninterrupted, timely, secure, error-free, or continuously available. We do not commit to any service-level agreement (SLA) unless we have entered into a separate written SLA with you. We may suspend, throttle, restrict, schedule maintenance for, modify, or discontinue all or any part of the platform at any time, with or without notice, in our sole discretion, and without liability to you. Outages, latency, delays, data loss, dropped calls, missed notifications, queue backlogs, AI errors, livestreaming interruptions, sync failures, or unavailability of any feature do not constitute a breach of these Terms and are not grounds for refund except as expressly stated in our Refund Policy or as required by law.

Third-Party Services, Integrations, and Providers

The platform relies on, integrates with, and is delivered through numerous third-party services, software, infrastructure providers, AI model providers, payment processors, telecommunications carriers, cloud and storage providers, content delivery networks, identity verification providers, gift fulfillment vendors, escrow providers, mapping and location services, livestreaming infrastructure, analytics providers, advertisers, and other partners (collectively, “Third-Party Services”). Examples currently include but are not limited to cloud, telephony, video, messaging, AI, payment, and fulfillment vendors. The set of Third-Party Services may change at any time without notice.

OpenLuxe™ does not control Third-Party Services and is not responsible or liable for: (a) any outage, downtime, slowdown, degradation, error, bug, security incident, data loss, breach, or discontinuation of any Third-Party Service; (b) changes to a Third-Party Service's pricing, features, terms, APIs, rate limits, or availability; (c) any failure of a Third-Party Service to deliver a message, call, payment, gift, package, livestream, verification, AI response, or other output; (d) any action or inaction of a third-party fulfillment vendor, escrow agent, broker, carrier, payment processor, telecom provider, or AI model provider; or (e) any content, conduct, products, services, or websites of third parties accessed through or linked from the platform. Your use of Third-Party Services may be subject to those providers' own terms and privacy policies, and you are responsible for complying with them. Your sole remedy for dissatisfaction with a Third-Party Service is to stop using it.

Beta and Experimental Features

From time to time we make available pre-release, beta, alpha, preview, experimental, early-access, or labs features (“Beta Features”). Beta Features are provided “AS IS” and without any warranty whatsoever. Beta Features may be unstable, may change or be removed at any time without notice, may produce inaccurate or unpredictable results, and may not be supported. By using a Beta Feature, you acknowledge and assume all risk associated with it, and you agree that OpenLuxe™ has no liability arising from your use of any Beta Feature. We may collect additional usage and diagnostic information from Beta Features to improve them.

Force Majeure

OpenLuxe™ is not liable for any failure or delay in performance, or any loss or damage suffered by you, caused in whole or in part by events or circumstances beyond our reasonable control, including but not limited to: acts of God; natural disasters; severe weather; fire; flood; earthquake; epidemic, pandemic, or public-health emergency; war, terrorism, civil unrest, or insurrection; government action, sanctions, embargoes, or legal compulsion; labor disputes or shortages; supply chain disruption; failures or interruptions of the public Internet, electricity, telecommunications, carriers, cloud providers, AI model providers, or other utilities or infrastructure; cyberattacks, denial-of-service attacks, ransomware, or other malicious activity; or any other event of force majeure. Performance is excused for the duration of the event.

Links

OpenLuxe™ has not reviewed all of the sites linked to its website and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement, approval, or control by OpenLuxe™ of the site. Use of any such linked site is at your own risk and we strongly advise you make your own investigations with respect to the suitability of those sites.

Right to Terminate

We may suspend or terminate your right to use our website and terminate these Terms of Service immediately upon written notice to you for any breach of these Terms of Service. In addition to suspension or termination, we reserve the right to pursue any and all legal remedies available to us for your breach, including seeking damages, attorneys' fees, costs, and injunctive or other equitable relief.

Effect of Termination and Data Retention

Upon suspension or termination of your account or these Terms (whether by you or by us): (a) your right to access and use the platform immediately ceases; (b) any active subscription will not renew, and you will not be entitled to a refund of fees already paid except as expressly required by our Refund Policy or applicable law; (c) outstanding payment obligations remain due; (d) credits, tokens, promotional balances, and other virtual items may be forfeited; (e) your content, files, messages, listings, contacts, automations, AI history, and related data may be retained, archived, anonymized, aggregated, or deleted in accordance with our Privacy Policy and our retention practices; and (f) we have no obligation to maintain, return, export, or migrate your data after a reasonable wind-down period. You are responsible for exporting any data you wish to retain prior to termination, where export is supported. Encrypted content (including E2EE messages and attachments) cannot be recovered by us under any circumstances.

Client Intake Documents — Retention and Destruction

Where you use Client Intakes to collect documents from your own clients or counterparties (for example identity documents, bank statements, or pay records), those files are stored encrypted at rest on segregated, non-public storage and are accessible only to you, to those you authorize, and to personnel administering the service.

We retain such documents for seven (7) years following the date the associated intake reaches a completed, cancelled, or expired state, after which they are deleted on a scheduled basis. Seven years is intended to accommodate common financial and real-estate recordkeeping obligations that may apply to you; it is not legal advice, and you remain solely responsible for determining and meeting your own retention requirements. Where a record of the request survives deletion, it contains only the fact of what was requested and answered — not the underlying file.

If your own obligations require a shorter or longer period, contact us before relying on the default: shorter windows can be configured, and we will not extend retention beyond the period above absent a written agreement. Metadata recorded when a document is submitted (submitting IP address and browser user agent, retained for fraud review) is deleted after ninety (90) days. Deletion is not instantaneous and may take up to a further ninety (90) days to propagate across backups and replicas.

Survival

The following sections survive any expiration or termination of these Terms: Intellectual Property; Prohibited Data Collection and Scraping; No Competing Products; No Copying or Cloning; User-Generated Content (license grants); Communications, Call Recording, and Consent (consents previously given); Subscriptions, Billing, Auto-Renewal, and Cancellation (with respect to accrued obligations); Liability; Limitation of Damages and Aggregate Cap; Indemnification; Service Availability and No Uptime Guarantee; Third-Party Services, Integrations, and Providers; Force Majeure; AI Assistants, Agents, and Generated Content; all domain-specific disclaimers; Effect of Termination and Data Retention; Survival; Mandatory Arbitration and Class Action Waiver; Governing Law; Notices; Entire Agreement; and any other provision that by its nature is intended to survive.

Severance

Any term of these Terms of Service which is wholly or partially void or unenforceable is severed to the extent that it is void or unenforceable. The validity of the remainder of these Terms of Service is not affected.

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the United States and the State of Wyoming, without regard to its conflict of laws principles. Subject to the Mandatory Arbitration and Class Action Waiver below, you irrevocably submit to the exclusive jurisdiction of the state and federal courts located in Wyoming for any matter not subject to arbitration. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Notice of Claim and Informal Dispute Resolution

Before filing any claim, lawsuit, or arbitration against OpenLuxe™, you agree to first provide us with written notice of the claim (“Notice”) by email to support@openluxe.co. The Notice must include: (a) your full name, account email, and physical address; (b) a clear description of the nature and basis of the claim; (c) the specific relief sought, including any monetary amount; and (d) any supporting documentation. The parties agree to attempt in good faith to resolve the dispute informally for at least sixty (60) days after the Notice is received. You may not commence arbitration or litigation until this informal-resolution period has expired. The statute of limitations and any filing-fee deadlines are tolled during the informal-resolution period.

Mandatory Arbitration and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY HEAR YOUR CLAIMS.

Agreement to Arbitrate: You and OpenLuxe™ agree that any dispute, claim, or controversy arising out of or relating to these Terms, the platform, any AI feature, any transaction, any communication, the Privacy Policy, or your relationship with OpenLuxe™ (collectively, “Disputes”) that cannot be resolved through the informal-resolution process above will be resolved exclusively by final and binding individual arbitration, and not in court. This agreement to arbitrate is governed by the Federal Arbitration Act (9 U.S.C. §§ 1–16).

Arbitration Provider and Rules: The arbitration will be administered by JAMS in accordance with the JAMS Streamlined Arbitration Rules (for claims under $250,000) or the JAMS Comprehensive Arbitration Rules (for larger claims), as in effect on the date the demand is filed, except as modified by these Terms. The arbitration will be conducted by a single, neutral arbitrator. The arbitrator has exclusive authority to resolve any Dispute, including any question of the scope, validity, enforceability, or arbitrability of this agreement to arbitrate (except for claims about the enforceability of the Class Action Waiver, which are decided by a court).

Location and Format: Arbitration will take place in Cheyenne, Wyoming, or, if you are an individual consumer, in the U.S. county of your billing address — or, at your election, by telephonic or video hearing or solely on written submissions where permitted by the applicable rules.

Fees: Payment of administrative and arbitrator fees will be governed by the applicable JAMS rules. For consumer claims, we will pay any administrative or arbitrator fees that exceed the amount you would have paid to file the same claim in state court, except where the arbitrator determines that your claim was frivolous or brought for an improper purpose.

Class Action Waiver: YOU AND OPENLUXE™ AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL ACTION OR PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding. If a court decides that this Class Action Waiver is unenforceable as to any claim, then that claim (and only that claim) shall be severed from arbitration and brought in court, while all other claims shall remain in arbitration.

Coordinated / Batch Arbitration: If 25 or more similar demands for arbitration are asserted against OpenLuxe™ by or with the assistance of the same or coordinated counsel, or in a coordinated manner, you agree that the demands will be administered in batches of up to 50 at a time: a representative set of bellwether arbitrations proceeds first, the results inform a global mediation of the remaining demands, and the applicable statute of limitations is tolled for demands held in the queue. This process is intended to promote efficiency and does not waive any party's right to individual arbitration of their own claim. A court of competent jurisdiction has authority to enforce this provision.

Carve-Outs: Notwithstanding the foregoing, either party may: (a) bring an individual action in small-claims court for Disputes within that court's jurisdiction; (b) seek temporary or preliminary injunctive or other provisional relief in a court of competent jurisdiction, in aid of arbitration, to prevent or immediately stop the actual or threatened infringement, misappropriation, unauthorized automated access, scraping, reverse engineering, or cloning of intellectual property, code, confidential information, or data — after which the merits of the Dispute, including all damages (such as the liquidated and enhanced damages described in the “Automated Access, AI Cloning, and Enhanced Damages” section), are decided in binding arbitration; and (c) take advantage of any non-waivable rights under applicable consumer- protection law.

30-Day Right to Opt Out: You may opt out of this Mandatory Arbitration and Class Action Waiver by sending a written opt-out notice to support@openluxe.co within thirty (30) days of the date you first accepted these Terms (or this section, if added later). The notice must include your full name, account email, and a clear statement that you wish to opt out of arbitration. Opting out will not affect any other provision of these Terms. If you opt out, neither you nor OpenLuxe™ will be bound by the arbitration and class-waiver provisions of this section with respect to your account.

Severability of This Section: If any provision of this Mandatory Arbitration and Class Action Waiver section is found unenforceable, that provision shall be severed and the remainder of the section shall remain in effect — except that if the Class Action Waiver is found unenforceable in its entirety, then this entire arbitration agreement shall be null and void with respect to the affected claims.

Jury Trial Waiver: TO THE FULLEST EXTENT PERMITTED BY LAW, IF FOR ANY REASON A DISPUTE PROCEEDS IN COURT RATHER THAN IN ARBITRATION — INCLUDING IF YOU OPT OUT ABOVE, OR FOR ANY CLAIM WITHIN A COURT CARVE-OUT — YOU AND OPENLUXE™ EACH KNOWINGLY, VOLUNTARILY, AND IRREVOCABLY WAIVE ANY RIGHT TO A TRIAL BY JURY.

AI Assistants, Agents, and Generated Content

OpenLuxe™ is an AI-augmented platform. We embed numerous distinct artificial intelligence (AI) assistants, agents, copilots, generators, and automated systems throughout the platform — including, but not limited to, conversational assistants, legal assistants, marketing copilots, customer relationship management (CRM) agents, search and matching engines, voice and phone agents, content generators, image and media generators, summarizers, translators, schedulers, analysts, recommenders, and workflow automations. New AI features are added, removed, or updated on an ongoing basis. By accessing or using OpenLuxe™ in any capacity, you expressly acknowledge, accept, and agree to the following:

AI May Be Involved Anywhere: You accept that AI may be present, active, or involved in any feature, response, suggestion, message, document, listing, contact, recommendation, search result, analysis, image, voice interaction, phone call, email, notification, automation, or other interaction delivered through the platform — whether or not such involvement is explicitly labeled, disclosed, or identifiable as AI in any specific instance. You consent to interacting with AI as a normal condition of using the platform.

AI Is an Aid, Not an Authority: Our AI features are intended only as helpful aids and productivity tools. They are not professionals, are not licensed in any field, do not exercise human judgment, and are not a substitute for qualified human advice. You agree not to treat any AI output as authoritative, final, complete, expert, or professional in nature.

AI Limitations: AI systems can and do make mistakes. They may produce results that are inaccurate, incomplete, outdated, biased, fabricated, hallucinated, misleading, internally inconsistent, or otherwise unreliable. They may have limited knowledge, limited context, limited training data, limited experience, and a knowledge cutoff date. They may misunderstand instructions, misinterpret data, misattribute sources, or generate content that does not reflect current facts, law, market conditions, or your specific circumstances. You acknowledge these limitations as inherent to AI technology.

Do Not Rely on AI Output: You agree that you will not rely on AI-generated or AI-assisted content as the sole or primary basis for any decision, action, communication, transaction, filing, publication, or commitment — including any legal, financial, investment, real estate, medical, tax, business, contractual, employment, marketing, scheduling, identity, safety, or other consequential decision. Reliance on AI output is at your own risk.

Your Duty to Verify and Proofread: You are solely and exclusively responsible for independently reviewing, proofreading, fact-checking, verifying, and validating any AI-generated or AI-assisted content before you publish, send, distribute, file, sign, transmit, share, post, act upon, or otherwise use it — whether on the platform, off the platform, with clients, with the public, with counterparties, or with regulators. By choosing to publish or use any such content, you represent and warrant that you have personally confirmed it is accurate, lawful, appropriate, non-infringing, complete, and trustworthy for your intended purpose. You, not OpenLuxe™, are the publisher and author of any AI output you choose to use.

Consult Qualified Professionals: You agree to consult appropriately licensed and qualified professionals — such as attorneys, accountants, financial advisors, real estate agents, brokers, mortgage professionals, inspectors, tax advisors, insurance agents, medical providers, and other domain-specific experts — before relying on any AI-generated content for matters that fall within their respective fields. AI features on OpenLuxe™ do not constitute legal, financial, investment, tax, accounting, medical, real estate, brokerage, insurance, or any other licensed professional advice. The same applies to non-AI reports and tools on the platform — including ERP, bookkeeping, ledger, invoicing, tax-estimate, valuation, payroll, analytics, and financial or business-planning outputs — which are provided for general informational purposes only, do not constitute legal, financial, tax, accounting, or other professional advice, and are not a substitute for review by a qualified professional. You remain solely responsible for your own filings, calculations, and decisions.

Third-Party AI Models and Data: Our AI features may be powered in whole or in part by third-party AI models, services, and data providers. We do not control, endorse, or guarantee the output of such third parties, and their availability, behavior, capabilities, and accuracy may change at any time without notice.

Full Liability Release for AI: To the fullest extent permitted by applicable law, you release, waive, discharge, and hold harmless OpenLuxe™, Open Labs, and our affiliates, officers, directors, employees, contractors, agents, licensors, suppliers, and partners from any and all claims, demands, losses, liabilities, damages, costs, and expenses (including attorneys’ fees) of any kind — whether direct, indirect, incidental, special, consequential, exemplary, or punitive — arising out of or related to: (a) any AI feature, agent, assistant, model, or automation on the platform; (b) any AI-generated, AI-assisted, AI-translated, or AI-processed content; (c) your use of, reliance on, or publication of any such content; (d) any errors, omissions, hallucinations, inaccuracies, biases, or unavailability in AI output; or (e) any decision, action, transaction, communication, or omission you take based on AI output. You assume all risk associated with the use of AI on the platform. This release does not apply to, and nothing in these Terms excludes, any liability that cannot be waived or limited under applicable law — including liability for gross negligence, willful misconduct, fraud or fraudulent misrepresentation, or personal injury or death caused by our negligence.

Indemnification: You agree to indemnify and defend OpenLuxe™ against any third-party claims arising from content you generated, assisted, produced, or distributed using our AI features, including content you published, sent, or shared without adequately verifying its accuracy, ownership, legality, or appropriateness.

Acceptance: If you do not accept these AI terms in full, you must not use any AI feature on the platform and must discontinue use of the platform. Continued use of OpenLuxe™ constitutes your ongoing acceptance of these AI terms as they may be updated from time to time.

Real Estate, MLS, and Fair Housing

OpenLuxe™ is a technology platform. Unless we have expressly stated otherwise in writing in your jurisdiction, OpenLuxe™ is not a licensed real estate broker, salesperson, mortgage broker, mortgage lender, appraiser, escrow agent, title company, attorney, or property manager, and we do not represent buyers, sellers, landlords, or tenants in any transaction. Any licensed activity is performed by the individual agents, brokers, and brokerages who use the platform and are responsible for their own compliance.

Property listings, market data, valuations, comparables, photographs, school information, tax history, days-on-market, median prices, inventory levels, and similar information may be sourced from multiple-listing services (MLSs), public records, third-party data providers, agents, and users. Such information is provided “AS IS” and may be incomplete, outdated, or inaccurate. OpenLuxe™ makes no representation as to the accuracy, completeness, or current availability of any property or listing data, and your use is subject to the terms of the applicable MLS or data provider where required. You are responsible for verifying all property and market information independently.

Fair Housing: OpenLuxe™ supports the principles of the Fair Housing Act and equivalent federal, state, and local laws, which prohibit discrimination based on race, color, religion, national origin, sex (including gender identity and sexual orientation), disability, familial status, source of income, military or veteran status, and other protected characteristics. You agree not to use the platform — including listings, marketing, AI-generated copy, search filters, targeting, messaging, screening, or showings — in any manner that violates fair housing or anti-discrimination laws. You are solely responsible for the legal compliance of your listings, advertisements, communications, and decisions.

OpenLuxe™ does not own the listed properties. Properties, units, rentals, vacation listings, commercial space, land, and other real-estate inventory shown on the platform are listed by independent agents, brokers, owners, landlords, sellers, hosts, or other users acting in their own capacity. OpenLuxe™ is a technology platform; we do not buy, sell, rent, lease, manage, hold title to, insure, appraise, finance, or warrant any property, and we are not the principal in any real-estate transaction. Any statement, photograph, price, square footage, availability, school assignment, tax figure, or other detail in a listing is provided by the listing user (or sourced from third parties) and should be independently verified.

Equal Housing Opportunity Pledge. OpenLuxe™ is committed to the principles of equal housing opportunity and to a marketplace free from unlawful discrimination. We support and require all users — agents, brokers, landlords, sellers, hosts, lenders, property managers, advertisers, and service providers — to comply with the Fair Housing Act, the Equal Credit Opportunity Act (ECOA), the Americans with Disabilities Act (ADA), and all applicable federal, state, and local fair-housing, accessibility, and anti-discrimination laws. Investment, Crowdfunding, and Securities (Pitch / Openflix)

Certain features of the platform — including but not limited to project pitches, investment terms, crowdfunding campaigns, equity or revenue- share offerings, and related discussions — involve information about businesses, projects, or offerings that may constitute or relate to securities or investments. OpenLuxe™ is not a registered broker-dealer, investment adviser, funding portal, or transfer agent unless expressly stated. We do not solicit, recommend, endorse, or provide investment advice with respect to any offering, issuer, or security on the platform.

All offerings, projections, projections of return, valuations, business plans, term sheets, and related materials are provided by the issuers or users who post them, are not verified by OpenLuxe™, and may be inaccurate, incomplete, or misleading. Investments are speculative and involve substantial risk, including the risk of total loss. Past performance is not indicative of future results. Some offerings may be limited to accredited investors or otherwise restricted by federal or state securities laws (including Regulation D, Regulation A, and Regulation Crowdfunding under the JOBS Act). You are solely responsible for determining whether an investment is appropriate for you, for verifying the issuer and the offering, for complying with all applicable securities laws, and for consulting qualified legal, tax, and financial professionals before investing.

Nothing on the platform constitutes an offer to sell or a solicitation of an offer to buy any security in any jurisdiction where such an offer or solicitation would be unlawful.

Rewards Crowdfunding: The OpenFlix Film Fund

The OpenFlix Film Fund lets a filmmaker (a “Creator”) ask the public to support a film or other screen project, and lets a member of the public (a “Backer”) support it in exchange for a reward such as merchandise, a membership, access to the finished project, or a credit on screen. Two supplementary agreements govern it in detail and are incorporated into these Terms by reference:

Where those agreements and these Terms conflict on a question specific to the Film Fund, those agreements control for that question, and these Terms control for everything else.

A pledge is not an investment. A pledge buys the reward described at the tier chosen, and nothing else. It conveys no equity, ownership, membership interest, revenue share, royalty, profit participation, note, debt instrument, security within the meaning of any securities law, financial return of any kind, or right to any proceeds of the project, and no interest in any underlying work or intellectual property. A credit on screen is an acknowledgement only and confers no authorship, copyright, creative control, or approval right. The Film Fund is separate from the capital-raising feature described in the section immediately above, and a Film Fund pledge never becomes a participation in that feature.

Nothing is charged unless the goal is met. Making a pledge saves a payment method; it does not charge it, place a hold, or reserve credit. If a campaign does not reach its goal by its deadline, no charge is ever created, every pledge is released, and there is nothing to refund. If the campaign does reach its goal, saved payment methods are charged afterwards. Because a saved card can expire or be cancelled in the weeks between a pledge and that charge, the total pledged to a campaign is a measure of commitments made and not of money held, and some pledges on a successful campaign never clear. A campaign that met its goal is not un-funded when that happens.

We are a venue, not the producer, the seller, or a guarantor. Except where a campaign states in terms that OpenLuxe™ or OpenFlix is the Creator, we do not make, finance, produce, complete, or distribute any project on the Film Fund, we are not the seller or manufacturer of any reward, and we do not guarantee that a project will be completed, released, or delivered as described. Campaign pages, budgets, schedules, attachments, delivery estimates, and updates are written by Creators, are not verified by us, and their appearance on the platform is not an endorsement. We may review a campaign before it is published and may remove one at any time; review is for our own risk purposes and is not an audit, approval, or advice.

The Creator owes the reward. A Creator whose campaign is funded must either deliver every reward promised or refund the part of each pledge attributable to what cannot be delivered. There is no third option. A Creator must also report honestly on progress, must not misstate the state of the project, the money, or fulfilment, and must, where a project fails, say so plainly, account for how the money was spent, and refund what can be refunded. Money collected on a campaign is for making the project and delivering its rewards. Delivery dates shown on a tier are good-faith estimates, not guarantees.

Failure and cancellation. A campaign that misses its goal fails and charges nobody. A Creator may withdraw a campaign before collection begins, which releases every pledge and charges nobody; a Creator may not withdraw one after collection has begun, and the only route then is a refund. We may suspend, remove, or refuse to publish a campaign, withhold collection or a payout, or suspend an account, where we reasonably believe there is fraud, deception, a breach of these Terms or the incorporated agreements, a legal or regulatory problem, a credible rights complaint, a payment risk, or a failure to fulfil. We may also change, suspend, or discontinue the Film Fund; if we discontinue it while campaigns are open, pledges on those campaigns will not be charged.

Refunds and disputes. The general Refund Policy section of these Terms does not apply to pledges. A pledge that was never charged needs no refund. A collected pledge is not generally refundable, and refunds are issued by us rather than by a Creator, at our discretion, including where a reward cannot be delivered, where a campaign was materially misdescribed, where a campaign is removed, where a payment was unauthorised, or where consumer law requires it. A refund issued after a Creator has been paid is recovered from that Creator, and any part we cannot recover is recorded as an amount they owe us that reduces what they may withdraw until it is settled. A dispute about a project or a reward is between the Backer and the Creator: we are not a party to it, we do not adjudicate it, and we do not assume the Creator's obligations. Disputes with OpenLuxe™ itself are governed by the Notice of Claim and Informal Dispute Resolution and Mandatory Arbitration and Class Action Waiver sections of these Terms.

Our fee. We retain a percentage of each collected pledge as a platform fee, disclosed on the Film Fund and in the two agreements above, and credit the remainder to the Creator after a short hold. The fee comes out of the Creator's side of the transaction: a Backer is never charged more than the amount pledged. The rate that applies to a campaign is fixed when that campaign launches, so a later change to our published rate does not re-price a campaign already running.

Prohibited campaigns. A campaign may not offer equity, revenue share, royalties, profit participation, interest, repayment, or any other financial entitlement; may not involve sexual or pornographic content, or any content sexualising a minor; may not involve hate speech, dehumanising content, harassment, or impersonation; may not involve illegal goods or services, weapons, drugs, counterfeits, or anything that cannot lawfully be sent to the Backer receiving it; may not involve regulated activity for which the Creator is not licensed; may not offer a lottery, raffle, or other chance to win; may not solicit charitable donations without complying with every charitable-solicitation law that applies; and may not use deceptive or manipulative promotion, including inflating apparent support by backing a campaign directly or through others. The Acceptable Use policy applies in addition.

What is published, and anonymity. A campaign publishes its goal, its progress, the total pledged, the number of supporters, and how many places remain on each reward tier. A Backer chooses when pledging whether to appear publicly or anonymously. An anonymous pledge publishes nothing that could identify the Backer: no name, initials, picture, account identifier, message, or amount. Individual pledge amounts are never published against a name. A Backer who withdraws, or whose pledge is released or never clears, is removed from the public supporter list. A Creator receives what is needed to fulfil, including delivery details a Backer provides for a physical reward, and may use that information only for fulfilment and for updates about the campaign it came from. Creator email updates are opt-in.

Property-Specific Terms: Virtual Items, Cards, and In-Game Rewards

Certain properties — including StickerVerce (collectible cards, mints, packs, and universes), HoodGuess (scores, streaks, ranks, and rewards), and comparable features elsewhere on the Services — let you acquire, generate, earn, collect, trade, or use virtual items. Virtual items include cards, mints, packs, skins, cosmetics, badges, ranks, points, streaks, boosts, and any other digital item or entitlement that exists only within the Services. Platform credits are addressed separately in the credits and payments sections of these Terms.

  • License, not ownership. Virtual items are licensed to you, not sold. You receive a personal, limited, revocable, non-exclusive, non-transferable (except through features we expressly provide, such as in-app trading) license to use the item within the Services. You acquire no ownership interest, title, property right, security interest, or other legal or equitable interest in any virtual item, and nothing about a virtual item — including scarcity, edition number, mint number, rarity tier, or a “1 of N” designation — creates one.
  • No monetary or cash value. Virtual items have no cash value, no real-world monetary value, and no value outside the Services. They are not currency, legal tender, a deposit, a stored-value instrument, a money transmission service, a commodity, a financial product, a security, or an investment, and they must not be treated or represented as any of those things. They are not redeemable for cash, credits, goods, or services outside the Services, and they are not refundable except where a refund is required by applicable law or expressly stated in the Refund Policy section below.
  • Not blockchain assets. Unless a feature expressly and specifically states in writing that a particular item is minted to a public blockchain, virtual items on the Services are database records we control. Words such as “mint,” “drop,” “rare,” or “collectible” are descriptive game terminology and do not mean an item is a token, NFT, or on-chain asset, and do not imply any resale market, floor price, liquidity, or appreciation.
  • We may change or retire items. We may modify, rebalance, re-tier, regrade, suspend, remove, expire, or discontinue any virtual item, game mode, economy, drop rate, or reward at any time, with or without notice, including for game balance, abuse prevention, technical, or legal reasons. We are not liable to you for any resulting loss of items, progress, standing, streaks, or perceived value.
  • Trading is in-platform only. Where we provide trading, you may trade virtual items only through the features we provide and only with other eligible users. Selling, buying, brokering, renting, or transferring virtual items or accounts for real-world money or anything of value outside the Services is prohibited, is not recognized by us, is entirely at your own risk, and may result in suspension or termination and forfeiture of the items involved.
  • Loss on termination. If your account is suspended, terminated, or closed, or if a property is discontinued, your license to the associated virtual items ends and the items may be lost without compensation, except where applicable law requires otherwise.

Property-Specific Terms: Games, Contests, and No Gambling

HoodGuess, StickerVerce battles and tournaments, and any other competitive or scored feature on the Services are offered as games of skill for entertainment. Outcomes are determined by player skill, knowledge, and performance under published rules — not by a wager on chance.

  • Not gambling. The Services are not a casino, sportsbook, lottery, sweepstakes, betting exchange, prize competition, or other gambling or gaming operation, and we do not offer games of chance for money. We do not accept wagers or stakes, we do not pay out cash or cash equivalents as prizes, and no feature is intended to constitute gambling under the law of any jurisdiction.
  • No consideration for chance. Participation in scored play does not require the payment of money or other consideration for the chance to win a prize of value. Where a feature uses credits, those credits pay for access to platform functionality; any in-game reward is a virtual item governed by the section above and has no cash value and is not redeemable for cash.
  • Rules, scoring, and eligibility. Each game, contest, tournament, ladder, or event may publish its own rules, entry requirements, eligibility criteria, scoring method, tie-breakers, and reward schedule, which are incorporated into these Terms for that event. Where those rules conflict with these Terms, the published event rules control for that event only. We may correct scores, reset leaderboards, void results, and withhold or revoke rewards where we reasonably determine that cheating, exploitation of a bug, collusion, multi-accounting, automation, or any other breach of these Terms or the Acceptable Use Policy has occurred.
  • Void where prohibited. Games, contests, and rewards are void where prohibited or restricted by law. You are responsible for determining whether your participation is lawful where you are located, and you must not participate from a jurisdiction where participation would be unlawful. We may restrict or withdraw any game, contest, or reward in any jurisdiction at any time.
  • Real property is not for sale in play. HoodGuess and similar features use real-estate imagery, locations, and price data for gameplay and entertainment only. Nothing in a game is an appraisal, a valuation, a broker price opinion, an offer, a listing, or investment or real-estate advice, and game data may be inaccurate, stale, or approximate. The Real Estate, MLS, and Fair Housing section above applies to these features as well.

Property-Specific Terms: AI-Generated Cards and Game Content

StickerVerce and comparable features let you generate cards, characters, artwork, universes, and other content from prompts you supply, using third-party AI models. That content is User-Generated Content and AI Output for the purposes of these Terms, and the User-Generated Content, AI, and Acceptable Use sections apply to it in full. In addition:

  • Your prompts are your responsibility. You must have the right to submit every prompt, image, name, likeness, brand, and reference material you use. You must not generate content that infringes a copyright, trademark, or other intellectual-property right; that uses a real person’s name, likeness, or voice without their permission; that depicts a minor in a sexual or suggestive manner; that is hateful, harassing, defamatory, or unlawful; or that is designed to imitate a third-party brand or franchise so as to confuse or deceive.
  • Ownership and limits of AI output. As between you and us, and subject to the license you grant us in the User-Generated Content section, you retain such rights as you have in the content you generate. You acknowledge that AI output may not be eligible for copyright protection in some jurisdictions, that identical or substantially similar output may be generated for other users, and that we make no representation or warranty that any generated card or asset is original, unique, non-infringing, or protectable. We grant you no exclusivity in any generated design.
  • Moderation and takedown. We may filter, refuse, label, restrict, remove, or destroy any generated content, and may suspend generation access, at our discretion — including in response to a rights-holder complaint, a legal demand, a model provider’s policy, or our own review. Removal of a card also removes the associated virtual item without compensation. Copyright and other rights-holder notices may be sent to support@openluxe.co.
  • Third-party model terms. Generation is performed using third-party AI providers whose own terms and usage policies apply to the requests you submit and the output you receive. Provider availability, pricing, model behavior, and content policies may change without notice, and we are not liable for a provider’s refusal, output, downtime, or change in terms.

Property-Specific Terms: OpenFlix Streaming & Creative Marketplace

The following terms apply specifically to OpenFlix (openflix.co), our streaming, entertainment, and creative-marketplace service, and to all creators, viewers, and users of OpenFlix. They are additive to — and never replace — the general terms of these Terms of Service, and a term here controls over any conflicting general term with respect to OpenFlix only. Consistent with how subscription-streaming and music-streaming services such as Netflix and Spotify structure their terms, OpenFlix is built on the principle that creators keep everything they make and that the Service obtains only the limited rights it needs to show, distribute, and promote that content.

  • You own what you upload and create. As between you and Open Labs, LLC. as OpenFlix, you retain all right, title, and interest in and to the content and assets you upload, publish, create, generate, or make available on or through OpenFlix (“OpenFlix Content”), including original films, series, videos, audio, music, scripts, artwork, likeness assets, and any accompanying metadata. We claim no ownership of your OpenFlix Content, and nothing in these Terms transfers ownership of your OpenFlix Content to us. This preserves and does not limit the rights you already have under the general User-Generated Content section above.
  • License to operate and promote OpenFlix. By uploading or publishing OpenFlix Content, you grant to Open Labs, LLC. as OpenFlix the non-exclusive, royalty-free, sub-licensable, worldwide license described in the User-Generated Content section above to host, reproduce, distribute, stream, display, perform, promote, and otherwise use your OpenFlix Content to operate, improve, and grow the Service. Consistent with how streaming platforms market the content in their catalogs, this license includes our right to use your OpenFlix Content — including its title, thumbnails, artwork, trailers, clips, and your name and likeness as a featured creator — to advertise, market, and promote OpenFlix, its catalog, and its subscription and creator-community offerings to current and prospective users and subscribers across the Service and in our own marketing channels. You may terminate this license as set forth in the User-Generated Content section (for example, by deleting your content), subject to the irrevocable-and-perpetual carve-outs described there.
  • No separate compensation for promotional use. The rights you grant above do not carry a separate expectation of payment for the mere display, distribution, or promotion of your OpenFlix Content. Where a specific OpenFlix feature offers monetization (for example, licensing, brand deals, creator revenue-share, or subscriptions), those feature-specific terms and any payments they promise govern separately.
  • You are responsible for rights in your content. As set out in the User-Generated Content and Acceptable Use sections, you represent and warrant that you own or have all necessary rights, licenses, consents, and permissions to every element of the OpenFlix Content you upload and to grant the license above, including any music, clips, stills, likenesses, and underlying works you incorporate into your content.
  • No stealing of others’ digital copyrights. OpenFlix is for original and properly licensed content. You must not upload or publish any OpenFlix Content that reproduces, streams, or distributes content you do not own or have the rights to, including feature films, television shows, music and sound recordings, software, or other copyrighted works (or protected elements of them) that belong to third parties, and you must not circumvent or remove any digital rights management (DRM), watermark, fingerprint, or other technical protection measure. Piracy, ripping, unauthorized re-streaming or redistribution, unauthorized screen-capture redistribution, and counterfeiting are prohibited. This Section does not limit the general Copyright Complaints (DMCA Notice and Takedown) section of these Terms, our repeat-infringer policy, or the anti-infringement rules of the OpenFlix Content Policy, each of which applies to OpenFlix in full.
  • Removal and enforcement. We may remove, restrict, or disable access to any OpenFlix Content that we determine, in our sole discretion, violates these Terms, the OpenFlix Content Policy, the Acceptable Use section, or applicable law — including in response to a rights-holder complaint or DMCA takedown notice — and we may suspend or terminate accounts, including repeat infringers, as described in these Terms.

Marketplace Transactions Between Users

OpenLuxe™ provides a marketplace and communications layer that enables users to discover, communicate, and transact with one another. Except where OpenLuxe™ is expressly identified as a party to a transaction, OpenLuxe™ is not a party to, agent for, fiduciary of, broker for, or guarantor of any transaction, contract, sale, lease, gift, service, showing, referral, or arrangement between users. OpenLuxe™ does not screen, vet, verify, or endorse users, listings, products, services, prices, availability, qualifications, licenses, identity, or background unless expressly stated. You transact with other users at your own risk.

You are solely responsible for: evaluating the other party; negotiating the terms; performing your obligations; complying with all applicable laws, licenses, taxes, and regulations; and resolving any dispute, return, refund, chargeback, or claim with the other party. We are not obligated to mediate or resolve disputes between users, but we may, at our sole discretion, take action including suspending accounts, removing content, or cooperating with authorities.

No Guarantee of Earnings or Results

OpenLuxe™ makes no promise, projection, or guarantee that you will earn any income or generate any leads, sales, listings, clients, followers, views, or referrals, achieve any particular business, financial, investment, dating, or personal result, or receive any specific return from using the platform, its AI features, its marketplace, its creator or seller tools, or any credits, promotions, or campaigns. Any examples, testimonials, projections, simulations, or forecasts are illustrative only and are not a guarantee of future outcomes. Your results depend on many factors outside our control, including your own effort and skill, market conditions, and the conduct of third parties.

Social Marketplace Risk Acknowledgment

OpenLuxe™ is a social marketplace. Anyone who meets the eligibility requirements can sign up, create a profile, publish listings, post content, send messages, host livestreams, place and receive calls, and transact with other users. Because the platform is open to the public, you may encounter scammers, fraudsters, misrepresentations, fake or paid reviews, identity- spoofing attempts, undisclosed conflicts of interest, off-platform redirection schemes, romance scams, investment scams, advance-fee fraud, fake listings, deepfake or AI-generated impersonation, unlicensed practitioners, and other bad actors.

OpenLuxe™ does not background-check, credit-check, criminal-check, sanctions-screen, or pre-screen users for trustworthiness, character, financial capacity, professional licensing (beyond information that is publicly available or self-attested), or motivation, and we do not guarantee the identity, qualifications, location, or intent of any user. Verification badges, where shown, reflect only the specific verification performed (for example, identity verification through our third-party provider, or confirmation of an email address or phone number) and do not certify trustworthiness, honesty, financial capacity, suitability, or business legitimacy. Reviews and reputation scores reflect the opinions of users, may be incomplete or biased, and may include attempts at manipulation despite our efforts to detect and remove abuse.

You acknowledge and accept this inherent risk as a condition of using the platform, and you agree that you — not OpenLuxe™ — bear sole responsibility for the consequences of your dealings with other users.

In-Person Meetings and Physical Safety

The platform may facilitate in-person interactions — including property showings, open houses, inspections, meetups, events, dates arranged through Dating features, deliveries, and other face-to-face meetings. OpenLuxe™ does not supervise, chaperone, or provide security for any in-person interaction and is not responsible for the conduct of any user. You are solely responsible for your own safety: meet in a public place where possible, tell someone where you are going, and use your own judgment. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU ASSUME ALL RISK OF, AND RELEASE OPENLUXE™ AND ITS AFFILIATES FROM, ANY CLAIMS FOR BODILY INJURY, EMOTIONAL DISTRESS, ASSAULT, PROPERTY DAMAGE, WRONGFUL DEATH, OR OTHER HARM ARISING FROM ANY IN-PERSON INTERACTION WITH ANOTHER USER OR THIRD PARTY, EXCEPT TO THE EXTENT SUCH HARM IS CAUSED BY OPENLUXE™'S OWN GROSS NEGLIGENCE OR WILLFUL MISCONDUCT OR CANNOT BE RELEASED UNDER APPLICABLE LAW.

How to Protect Yourself: Verification, Reputation, and Escrow

We strongly encourage you to take the following precautions before transacting or sharing sensitive information with another user:

  • Prefer highly-verified counterparties with a strong reputation. Look for the verification badge, completed identity verification, connected social and professional profiles, longevity on the platform, completed transaction history, and recent reviews/ratings. The more independent signals point in the same direction, the better.
  • Use the platform's Escrow feature for high-value, cross-border, or non-routine transactions. Escrow is fulfilled by a licensed third-party escrow provider and is the safest way to transact through OpenLuxe™. The escrow provider performs its own KYC on the parties and holds funds until the agreed conditions are met.
  • Keep communications and payments on-platform until you have established a legitimate business reason and a verified identity for moving them off-platform.
  • Verify independently. For real-estate, agent, broker, contractor, attorney, financial, or medical professionals, independently confirm licenses with the issuing state authority before relying on any credential.

Common scam red flags — proceed with extreme caution if a counterparty asks you to:

  • Move the conversation off-platform (to personal text, encrypted messengers, social media DMs, or email) before any legitimate business reason exists;
  • Pay by wire transfer, ACH push, gift cards, prepaid cards, cryptocurrency, peer-to-peer apps (such as Venmo, CashApp, or Zelle), money orders, or any other method that is hard to reverse, instead of through OpenLuxe™'s payment rails or licensed escrow;
  • Send an upfront fee, “verification deposit,” “shipping advance,” “release fee,” “tax,” or “earnest money” to a personal account before performance, especially before you have inspected the asset or met in person;
  • Act against the clock — manufactured urgency, “limited time,” “multiple offers,” or pressure to bypass diligence;
  • Accept a price that is significantly below market for the asset class, or a return that is significantly above market;
  • Skip a property tour, in-person inspection, or in-person meeting for a real-estate or high-value transaction;
  • Provide identity, license, professional credentials, or supporting documentation that you cannot independently verify with the issuing authority;
  • Convert a personal, romantic, or friendship interaction into a financial request, loan, or investment opportunity;
  • Offer a job, modeling gig, casting, or sponsorship that requires you to send money, buy equipment, or share banking credentials up-front; or
  • Ask for one-time passwords, two-factor codes, recovery phrases, screen-share access, or your account password — OpenLuxe™ will never ask for these.

These warnings are illustrative, not exhaustive. Trust your instincts and walk away from anything that feels off. OpenLuxe™ is not liable for losses you incur off-platform, after ignoring these warnings, or by paying outside of our platform payment rails or licensed escrow.

No Responsibility for User-to-User Deals or Outcomes

OpenLuxe™ is not responsible for any agreement, contract, transaction, sale, lease, gift, referral, listing introduction, service engagement, business deal, joint venture, partnership, employment arrangement, investment, loan, or other dealing entered into between users — whether the deal succeeds, partially performs, fails, is breached, is fraudulent, or causes you any loss, injury, damage, missed opportunity, emotional distress, reputational harm, or other harm of any kind.

Without limitation, OpenLuxe™ is not responsible for: misrepresentation; non-delivery or partial delivery; defective, counterfeit, or non-conforming goods or services; failed closings; undisclosed defects, liens, encumbrances, or title issues; missed deadlines; broken promises; refund disputes; chargebacks; license, permit, or zoning violations; broker, agent, attorney, or contractor mistakes or malpractice; vendor non-performance; recipient experience with gifts; payment fraud; identity theft; data exposure between users; off-platform interactions; or any criminal act of another user.

You agree to seek any remedy directly against the responsible counterparty and through appropriate external channels — including, where applicable, the escrow provider's dispute process, your payment processor's chargeback process, your own insurance, professional advisors, civil litigation, regulatory complaints, and law-enforcement reporting. OpenLuxe™'s role is limited to operating the platform.

Reporting Illegal Activity, Fraud, and Abuse

We ask you to report any actual or suspected illegal activity, fraud, scam, impersonation, harassment, threats, child-safety concern, hate speech, sexual exploitation, terrorism or violent extremism, identity theft, intellectual-property violation, financial crime, unlicensed practice, fair-housing violation, or other policy violation as soon as you become aware or have evidence — even if you are not the direct victim. Prompt reporting helps us protect you and other users.

How to report to OpenLuxe™:

  • In-platform: use the Report action on the user, listing, message, post, comment, livestream, review, or other content. Provide as much context as you can.
  • Email:support@openluxe.co — include a description, URLs or usernames, screenshots, dates and times, and any other evidence you have.
  • Imminent danger: contact local emergency services first (in the U.S., 911), then notify us.

What happens next. We investigate reports made in good faith. We may remove content, restrict features, suspend or terminate accounts, preserve evidence, share information with the affected counterparty as needed to investigate, and cooperate with law enforcement and regulators. We do not guarantee a particular outcome, timeline, or update on any individual report. We may decline to act on reports we conclude are unsupported, abusive, retaliatory, or made in bad faith, and we reserve the right to take action against users who file knowingly false reports.

Good-faith reporters. Reports made in good faith will not result in retaliation by OpenLuxe™.

Also report to authorities. OpenLuxe™ is not a substitute for law enforcement, regulators, or licensed professionals. Where appropriate, we encourage you to also contact:

  • Imminent danger / crime in progress: local emergency services (in the U.S., 911).
  • Internet crime, scams, fraud: FBI Internet Crime Complaint Center (IC3) at ic3.gov; FTC at reportfraud.ftc.gov.
  • Child safety / CSAM: National Center for Missing & Exploited Children (NCMEC) CyberTipline at cybertipline.org or 1-800-843-5678.
  • Housing discrimination: U.S. Department of Housing and Urban Development (HUD) at 1-800-669-9777 or hud.gov/fairhousing — also see our Fair Housing page.
  • Securities / investment fraud: U.S. Securities and Exchange Commission at sec.gov/tcr and your state securities regulator.
  • Identity theft: FTC at identitytheft.gov.
  • Outside the United States: the equivalent national consumer-protection, data-protection, fraud, or law-enforcement authority in your jurisdiction.

Anyone Can Publish; Hosting Safe Harbor (Section 230)

Listings, messages, posts, profiles, comments, livestreams, AI prompts and outputs you choose to publish, marketing copy, photos, videos, audio, documents, and other content on the platform are submitted by users. Anyone who meets the eligibility requirements can publish. Such content reflects the views, claims, representations, and offerings of the publishing user — not OpenLuxe™. We do not adopt, endorse, verify, or vouch for user content, and the appearance of any user, listing, statement, or claim on the platform is not a recommendation by us.

Consistent with Section 230 of the U.S. Communications Decency Act (47 U.S.C. § 230) and analogous safe-harbor frameworks elsewhere (including the hosting safe harbor under the EU Digital Services Act), OpenLuxe™ is an interactive computer service that hosts user-generated content; we are not the publisher or speaker of that content. To the maximum extent permitted by law, OpenLuxe™ is immune from liability arising from third-party content posted on the platform.

We may, but are not obligated to, monitor, review, moderate, edit, label, demote, age-gate, age-rate, fact-check, restrict, or remove any user content at our sole discretion. Our choice to moderate (or not moderate) any particular content does not make us the publisher of any content, does not waive any safe-harbor protection, and does not impose any duty to moderate other content. Any removal, demotion, or restriction is a content-moderation action and is not an admission of fault, accuracy, or liability with respect to any content, user, or transaction.

Brand Harm, Reservation of Rights, and Recovery of Damages

Although OpenLuxe™ is a hosting platform and is not the publisher of user content, and although disputes between users are primarily between those users, you acknowledge and agree that your conduct on or through the platform directly affects OpenLuxe™ itself, regardless of whether the immediate target of your conduct is OpenLuxe™ or another user.

Without limitation, the following conduct on or through the platform damages OpenLuxe™, our brand, our reputation, our goodwill, the trust other users place in the platform, our user growth, our ability to attract and retain partners, customers, advertisers, vendors, and investors, our marketing and advertising investment, our compliance posture, our relationships with payment processors, telecommunications carriers, AI providers, app stores, regulators, and law enforcement, and our community as a whole — even when the immediate harm is suffered by another user and not by OpenLuxe™ directly:

  • Content that violates our Acceptable Use Policy, including obscene, sexually exploitative, harassing, threatening, or otherwise unlawful content;
  • Defamation, libel, slander, false light, disparagement, and other reputational torts against any person or business;
  • Scams, fraud, false pretenses, false advertising, deceptive business practices, phishing, pretexting, and confidence schemes;
  • Identity theft, impersonation, account takeover, and unauthorized use of another person's name, likeness, voice, biometric identifiers, or credentials;
  • Illegal activity of any kind, including criminal, regulatory, securities, consumer- protection, fair-housing, tax, sanctions, anti-money-laundering, telemarketing, and data-protection violations;
  • Tortious interference with another user's contract, expectancy, or business relationship; civil conspiracy; aiding and abetting; and similar conduct;
  • Threats, intimidation, stalking, doxxing, extortion, and other abusive or coercive behavior;
  • Violations of these Terms, the Acceptable Use Policy, the Privacy Policy, the Fair Housing policy, or any other policy that governs your use of the platform; and
  • Any other intentional, reckless, or grossly negligent conduct that exposes OpenLuxe™ to legal claims, regulatory action, reputational injury, user attrition, payment- processor or carrier penalties, app-store enforcement, vendor termination, or media, social-media, or community backlash.

Reservation of rights and remedies. With respect to any such conduct, OpenLuxe™ expressly reserves, in addition to and not in limitation of any other right or remedy in these Terms or at law or in equity, the right to:

  • Investigate and gather evidence (including through automated tools and human review), and preserve content, communications, logs, and metadata;
  • Immediately suspend, restrict, downrank, shadow-restrict, or terminate your account and any related or associated accounts, without prior notice;
  • Remove or disable access to listings, messages, posts, profiles, livestreams, AI outputs, attachments, and other content;
  • Reverse, claw back, freeze, or forfeit credits, tokens, virtual items, promotional balances, payouts, referral commissions, or other benefits;
  • Hold or refund payments and reverse transactions to the extent permitted by our payment processors and applicable law;
  • Pursue civil legal action against you and against any person or entity who acted in concert with you, including claims for breach of contract (these Terms), indemnification, defamation, trade libel, tortious interference, fraud, fraudulent misrepresentation, conversion, unjust enrichment, civil conspiracy, aiding and abetting, false advertising under the Lanham Act and analogous state laws, violation of unfair-competition and consumer-protection statutes, computer-fraud claims (including under the Computer Fraud and Abuse Act and state analogs), trademark and trade-dress infringement and dilution, and any other applicable cause of action;
  • Seek and recover all available legal and equitable remedies, including injunctive and declaratory relief; specific performance; compensatory damages; consequential damages; damages for harm to brand, goodwill, reputation, and user trust; restitution and disgorgement of any profits, payments, or benefits you obtained directly or indirectly through the conduct; statutory damages where available; any exemplary or punitive damages only to the extent a court independently awards them under applicable law; pre- and post-judgment interest; and attorneys’ fees, expert fees, investigative costs, and court costs;
  • Recover the costs OpenLuxe™ incurs to investigate the conduct, remediate affected users, communicate with regulators and partners, restore brand and reputation, defend related third-party claims, comply with legal obligations, and prevent recurrence;
  • Cooperate with and provide information, content, account records, IP addresses, device identifiers, and communications to law enforcement, regulators, courts, payment processors, telecommunications carriers, app stores, AI providers, and other platforms in connection with the conduct, and to refer the matter for criminal investigation or prosecution; and
  • Permanently ban you from the platform and from any future services, products, or communities operated by OpenLuxe™, Open Labs, or our affiliates, and to take reasonable steps to prevent your re-entry (including blocking devices, payment instruments, and contact information).

Acknowledgments. You acknowledge and agree that: (a) harm to OpenLuxe™'s brand, goodwill, reputation, and user trust is real, substantial, and ongoing; (b) such harm is difficult to quantify with precision, and OpenLuxe™ will seek only its actual and provable damages, proportionate to the harm caused, rather than any pre-set or formulaic amount; (c) injunctive and other equitable relief is appropriate to prevent or stop such conduct, and you waive any requirement that OpenLuxe™ post a bond as a condition of such relief, to the extent permitted by law; (d) you remain fully obligated under the Indemnification section above with respect to the conduct; (e) nothing in our hosting safe harbor (Section 230) or in our choice to moderate or not moderate any content waives or limits OpenLuxe™'s right to pursue you for your own conduct; and (f) this section survives termination of your account and these Terms.

Proportionality and good faith. OpenLuxe™ will exercise the rights in this section reasonably and in good faith, and will seek monetary recovery only in an amount proportionate to the actual, provable harm caused by your conduct. This section does not create a penalty, does not entitle OpenLuxe™ to liquidated or pre-estimated damages, and does not enlarge your liability beyond what applicable law permits. The remedies in this section are in addition to OpenLuxe™'s other rights and remedies, all of which are cumulative, and this section is severable — if any part is held unenforceable, the remainder remains in effect.

Escrow Services Disclaimer

Escrow features on the platform are powered by licensed third-party escrow providers (such as Escrow.com and other regulated providers we may integrate from time to time). The escrow agent of record for any transaction is the third-party provider, not OpenLuxe™. The third-party provider's own terms, fees, regulatory disclosures, dispute procedures, and refund policies govern the underlying escrow transaction. OpenLuxe™ is not a licensed escrow agent, money transmitter, or fiduciary, and is not responsible for the funding, holding, release, refund, or recovery of any escrowed funds, the verification of any party, the delivery of any goods or services, or the resolution of any escrow dispute. Coverage, eligibility, supported countries and states, supported transaction types, fees, and timelines are determined by the underlying provider and may change without notice.

Gift Store and Vendor Fulfillment

Physical and digital gifts ordered through the platform are fulfilled by independent third-party vendors and gifting providers (such as Snappy, Giftsenda, Ongoody, and other vendors we may integrate from time to time). OpenLuxe™ is not the seller, manufacturer, importer, or shipper of these gifts. Inventory, pricing, recipient eligibility, customs, taxes, duties, shipping timelines, delivery success, recipient experience, substitution, returns, refunds, warranty, and recipient communications are governed by the applicable third-party vendor and the recipient's choices. OpenLuxe™ is not liable for any vendor failure, delay, defect, lost or damaged shipment, unsuccessful delivery, undeliverable address, recipient non-acceptance, customs issue, or any other gifting outcome.

Livestreaming and User-Generated Live Content

The platform offers livestreaming, video rooms, webinars, and similar real-time interactive features. Live content is created by hosts and participants in real time and is not pre-screened or moderated by OpenLuxe™. Hosts are solely responsible for the content of their livestreams (including any commentary, music, video, slides, guest appearances, claims, or sales), for obtaining all necessary rights, releases, and consents from any person who appears or is identifiable, and for complying with all applicable laws (including consumer-protection, advertising, securities, healthcare, gambling, adult-content, and intellectual-property laws). Participants must follow the host's rules and applicable community guidelines. We may remove, terminate, or restrict any livestream at our sole discretion. Live audio and video may be recorded, replayed, transcribed, captioned, or analyzed by AI as described in our Communications, Call Recording, and Consent section.

End-to-End Encrypted Chat Limitations

Certain messaging features on the platform are end-to-end encrypted (E2EE), meaning that the content of messages and attachments can be decrypted only by participants who hold the corresponding cryptographic keys on their devices. OpenLuxe™ does not have access to your private keys and cannot read, recover, restore, decrypt, export, or reset E2EE message content, encrypted attachments, or lost encryption keys. If you lose your device, your recovery PIN, your safety number, or all of your enrolled devices, you may permanently lose access to your encrypted history. OpenLuxe™ is not liable for any loss of encrypted content resulting from device loss, credential loss, key rotation, group rekey, revocation, or your use of (or failure to use) backup and recovery options. You are responsible for protecting your keys, devices, and recovery materials.

Atticus and Other AI Legal Assistance

OpenLuxe™ may offer AI-powered features — including, without limitation, the assistant known as Atticus — that provide general information about contracts, clauses, legal concepts, deadlines, or related topics. These features are not a law firm, are not lawyers, do not practice law, and do not provide legal advice. Use of these features does not create an attorney-client relationship, does not create a privileged or confidential communication, and does not substitute for advice from a licensed attorney in your jurisdiction. Information produced by these features may be incorrect, incomplete, outdated, or inapplicable to your situation. You should consult a licensed attorney before relying on any such information for legal, contractual, regulatory, or compliance decisions.

We make no representation that the platform is appropriate, available, or legally usable in any particular location. If you access the platform from outside the United States, you do so on your own initiative and are responsible for compliance with local law. You represent and warrant that you are not located in, organized under the laws of, nor ordinarily resident in any country or territory subject to comprehensive U.S. embargoes or sanctions, and that you are not on any U.S. government list of restricted, denied, or sanctioned parties (including the OFAC SDN List, the BIS Entity List, or the Denied Persons List). Assignment

You may not assign, transfer, delegate, or sublicense any of your rights or obligations under these Terms, by operation of law or otherwise, without our prior written consent. Any attempted assignment in violation of this section is void. OpenLuxe™ may freely assign or transfer these Terms and any rights or obligations hereunder, in whole or in part, without notice or consent, including in connection with any merger, acquisition, sale of assets, financing, reorganization, or operation of law. These Terms bind and benefit the parties and their permitted successors and assigns.

Notices

We may give you notices required or permitted by these Terms by email to the address on file for your account, by posting in your account, by in-app notification, or by posting on the platform. Notices to OpenLuxe™ must be sent in writing to support@openluxe.co and, where required, by certified mail or recognized overnight courier to OpenLuxe™ / Open Labs, Legal Department, at the registered agent address most recently published on the platform. Notices are deemed given when sent (for electronic notices) or when actually received (for physical notices).

Entire Agreement; Waiver; No Third-Party Beneficiaries

These Terms (together with our Privacy Policy, SMS Terms, applicable order forms or plan-specific terms, and any other policies expressly incorporated by reference) constitute the entire agreement between you and OpenLuxe™ regarding the platform and supersede all prior or contemporaneous agreements, understandings, representations, or communications, whether oral or written, regarding the same subject matter. No waiver of any term will be deemed a further or continuing waiver of that term or any other term, and our failure to assert any right or provision will not constitute a waiver of that right or provision. Except as expressly stated, these Terms do not create any third-party beneficiary rights. Headings are for convenience only and do not affect interpretation.
