Open Labs, LLC API & CLI Terms of Service

These API & CLI Terms of Service (the “API Terms”) govern your access to and use of the Open Labs, LLC / OpenLuxe public application programming interface, the OpenLuxe command-line client (the “CLI”), any associated SDKs, personal access tokens, webhooks, and any other programmatic interface we make available (collectively, the “API”). They are a binding legal agreement between you (the “Developer”, “you”) and Open Labs, LLC (“we”, “us”).

By creating an API token, authorizing the CLI, or making any request to the API, you confirm that you have read, understood, and agree to be bound by these API Terms and each of the policies listed below, which are incorporated into these API Terms by reference. If you do not agree, do not create a token and do not use the API.

Version 2026-07-03. Gate version 2026-07-03.1. Last reviewed July 3, 2026.

We may publish a new version of these API Terms (or of any incorporated policy) at any time. When we do, your prior acceptance no longer satisfies the gate and you must read and accept the new version before your next API request. Continued use after a new version is published is not a substitute for that acceptance.

1. Incorporated policies

Your use of the API is additionally governed by, and you must separately accept, each of the following. Each is part of your agreement with us as fully as if set out here:

If these API Terms conflict with an incorporated policy with respect to programmatic / API use, these API Terms control for that use.

2. Tokens, the CLI, and your responsibility

API access uses personal access tokens (including tokens minted when you authorize the CLI through the device-authorization flow). A token acts with the authority you grant it. You are solely responsible for keeping your tokens secret, for every request and every action taken with your tokens or the CLI (whether by you, your software, an AI agent you operate, your employees, or anyone who obtains your token), and for revoking any token you believe is compromised. Actions taken with your token are treated as your actions and are billed to your account.

You agree to provide accurate information about your intended use of the API when you accept these API Terms, and to use the API only for that stated, lawful purpose. Materially misusing the API relative to your stated intended use is a breach of these API Terms.

3. Acceptable use

You will not use the API to: violate any law or third-party right; exceed, evade, or interfere with rate limits, quotas, or other technical or usage restrictions; probe, scan, overload, disrupt, or attempt to gain unauthorized access to the API or the systems behind it; scrape, harvest, resell, or redistribute data except as expressly permitted; send unsolicited or unlawful communications; or do anything prohibited by the Acceptable Use Policy or Fair Housing notice. We may impose, change, or enforce technical limits at any time.

4. No competing products; no copying, cloning, or bulk extraction

The API and CLI exist so you can build integrations and applications that work with OpenLuxe — not so you can reproduce it. You may not use the API, the CLI, or any data, content, or output obtained through them to: (a) develop, build, train, market, sell, or operate any software, product, or service of any kind that competes with OpenLuxe™ or any of its services; (b) copy, clone, or replicate the platform or any portion of it, or substantially imitate its features, designs, workflows, or functionality; (c) train, fine-tune, or improve any machine-learning or artificial-intelligence model; or (d) bulk-extract, mirror, or archive platform data to assemble a substitute dataset, directory, or service.

The documented API is the only permitted form of programmatic access to the platform. Automated access by any other means — bots, crawlers, scrapers, spiders, scripts, or AI agents operating outside the documented endpoints — is prohibited, as further described in the Prohibited Data Collection and Scraping section of the Terms of Service. A violation of this Section 4 is a material breach: we may immediately revoke your tokens and terminate your access, and we may pursue all available damages and injunctive relief as described in Section 11.

5. Credits, pricing, and rate limits — changes

API actions consume credits at rates we set and may change at any time, with or without notice. Rate limits, quotas, throttling, concurrency caps, and request ceilings are set by us and may be added, reduced, or changed at any time. Being rate-limited, throttled, queued, or returned a quota error is expected, intended behaviour — it is not a defect, a breach of these API Terms by us, or a basis for any claim, refund, or liability. You are responsible for monitoring your own credit balance and usage. Except where required by law, fees and consumed credits are non-refundable, including where you disagree with a pricing or rate-limit change.

Your continued use of the API after a pricing, credit, quota, or rate-limit change constitutes your acceptance of that change. If you do not accept a change, your sole and exclusive remedy is to stop using the API.

6. Availability, changes, and discontinuation — no liability

The API and CLI are provided on an “AS IS” and “AS AVAILABLE” basis. We do not guarantee that the API or CLI will be available, uninterrupted, timely, secure, or error-free, or that any particular endpoint, field, response, behaviour, or feature will be available or remain unchanged. We may, at any time and in our sole discretion, with or without notice and without liability to you or any third party:

  • experience or schedule downtime, outages, degraded performance, latency, or maintenance;
  • add, modify, deprecate, remove, version, or change the behaviour of any endpoint, parameter, response, or feature;
  • suspend, throttle, limit, discontinue, or permanently shut down the API, the CLI, or any part of either, in whole or in part;
  • change pricing, credits, quotas, or rate limits as described in Section 5.

You assume all risk arising from any outage, interruption, discontinuation, deprecation, change, data loss, or unavailability of the API, the CLI, or any endpoint or service, and from any decision you or anyone else makes in reliance on the API. You are responsible for designing your integration to fail safely. We have no obligation to provide notice of, support for, backward compatibility with, or migration assistance for any change or discontinuation.

7. AI-generated output

Some API endpoints return output produced by artificial-intelligence or machine-learning models. Such output is probabilistic and may be inaccurate, incomplete, outdated, biased, offensive, or otherwise unsuitable, and may differ between identical requests. We do not warrant the accuracy, reliability, completeness, or fitness of any AI-generated output, and it does not constitute legal, financial, tax, medical, real-estate, or other professional advice.

You are solely responsible for reviewing, validating, and verifying any AI-generated output before relying on or acting on it, and for any decision, action, omission, or communication you or your end users make based on it. We have no liability for AI-generated output or for any consequence of reliance on it.

8. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE API, THE CLI, AND ALL OUTPUT ARE PROVIDED WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTY THAT THE API OR CLI WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. NO ADVICE OR INFORMATION OBTAINED FROM US CREATES ANY WARRANTY NOT EXPRESSLY STATED HERE.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Open Labs, LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, OR FOR ANY DAMAGES ARISING FROM ANY OUTAGE, INTERRUPTION, DISCONTINUATION, DEPRECATION OR CHANGE OF ANY ENDPOINT OR SERVICE, ANY CHANGE IN PRICING, CREDITS, QUOTAS, OR RATE LIMITS, ANY RATE-LIMIT OR QUOTA ENFORCEMENT, OR ANY AI-GENERATED OUTPUT — WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE API, THE CLI, OR THESE API TERMS WILL NOT EXCEED THE TOTAL FEES YOU PAID TO US FOR API USE IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (US$100), WHICHEVER IS LESS. THESE LIMITATIONS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

10. Indemnification

You will defend, indemnify, and hold harmless Open Labs, LLC and its affiliates from and against any claim, demand, loss, liability, damage, cost, or expense (including reasonable legal fees) arising out of or related to your use of the API or CLI, your tokens, your data, your end users, your applications or AI agents, your violation of these API Terms or any incorporated policy, or your violation of any law or third-party right.

11. Suspension, termination, and enforcement

We may suspend, rate-limit, revoke tokens for, or terminate your access to the API or CLI at any time, with or without notice, including for actual or suspected breach, security risk, abuse, non-payment, or to comply with law — without liability to you. Sections that by their nature should survive (including Sections 4–10 and 12) survive termination.

In addition to suspension or termination, we reserve the right to pursue any and all legal remedies for your breach of these API Terms — including, for violations of Section 4 (competing products, copying, cloning, or bulk extraction) or of the scraping prohibitions incorporated from the Terms of Service, actual damages, lost profits, disgorgement of profits you derive from the violation, statutory damages, attorneys' fees, costs, and injunctive or other equitable relief. You acknowledge that such violations would cause irreparable harm for which monetary damages alone would be inadequate.

12. Governing law and disputes

These API Terms are governed by the laws of the State of Wyoming, United States of America, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction and venue of the state and federal courts located in that jurisdiction for any dispute not subject to arbitration, and you waive any objection to that venue. If any provision is held unenforceable, the remaining provisions remain in full force.

13. General

These API Terms, together with the incorporated policies, are the entire agreement between you and us regarding the API and supersede any prior agreement on that subject. Our failure to enforce a provision is not a waiver. You may not assign these API Terms without our consent; we may assign them freely. There are no third-party beneficiaries.
